Celldex Therapeutics, Inc. — 2014 Form 10-K
Reporting period: Fiscal year ended December 31, 2014. The filing also reports unaudited fourth-quarter results. Celldex is a clinical-stage biopharmaceutical company developing immunotherapies; it reported no product-sales revenue.
Financial performance and position
| Metric | 2014 | 2013 |
|---|---|---|
| Total revenue | $3.6 million | $4.1 million |
| Research and development expense | $104.4 million | $67.4 million |
| Operating loss | $122.4 million | $81.4 million |
| Net loss | $118.1 million; $1.32 per share | $81.6 million; $1.02 per share |
| Net cash used in operating activities | $101.5 million | $67.7 million |
| Cash, cash equivalents and marketable securities at year-end | $201.0 million | $303.0 million |
| Working capital | $180.5 million | $284.8 million |
| Total liabilities | $36.4 million | $27.3 million |
Revenue declined 13%, principally because product royalty revenue ended after the GlaxoSmithKline agreement expired; 2014 revenue included collaboration and grant revenue. R&D expense rose 55%, reflecting expanded clinical trials and contract manufacturing. Net loss increased 45%, partly offset by higher investment and other income, including $3.0 million of final TopoTarget milestone payments. The filing reports no product revenue from Celldex’s drug candidates; conventional product margins are therefore not meaningful.
Fourth-quarter 2014 revenue was $1.5 million and net loss was $31.8 million, or $0.36 per share, compared with fourth-quarter 2013 revenue of $0.6 million and net loss of $22.1 million, or $0.27 per share.
Cash and marketable securities totaled $201.0 million at year-end, including $28.0 million cash and cash equivalents and $173.0 million marketable securities. Management said these resources were expected to fund planned operations through 2016, subject to clinical results and their effect on manufacturing and commercial build-out; the financial-statement note separately describes funding for at least the next 12 months. Management anticipated further capital-raising steps for longer-term needs. The 2013 term loan was repaid in full in May 2013; no term-loan debt remained at year-end 2014. Contractual obligations were $24.1 million, primarily operating leases and other non-cancelable commitments.
Business developments and changes
- Rindopepimut: The pivotal Phase 3 ACT IV frontline glioblastoma trial completed enrollment in December 2014, with 745 patients enrolled. First interim analysis was expected mid-2015; final data was then projected by the end of 2016, subject to event rates. In the Phase 2 ReACT recurrent-disease study, interim results in Avastin-naïve patients favored rindopepimut plus Avastin for six-month progression-free survival (27% vs. 11%) and median overall survival (12.0 vs. 8.8 months); management reported a statistically significant survival result. The refractory expansion cohort did not meet its continuation criterion. These were interim clinical findings, not regulatory approval or proof of commercial efficacy.
- Glembatumumab vedotin: The Phase 2b METRIC study in gpNMB-positive triple-negative breast cancer was amended in the fourth quarter to broaden eligibility and target potential full approval in the U.S. and Europe. The 300-patient study retained progression-free survival as its primary endpoint; enrollment completion was projected for 2016. A Phase 2 melanoma study began in December 2014.
- Other programs: Varlilumab remained in early clinical development. A BMS collaboration included a $5.0 million upfront payment recognized over an estimated five-year performance period, shared development costs for a combination study, and a time-limited right of first negotiation for BMS if Celldex seeks to out-license varlilumab. CDX-1401 and CDX-301 also remained in clinical development; CDX-014 was preclinical.
- Celldex issued Biosyn 152,172 shares valued at $2.0 million under a supply agreement for KLH used in rindopepimut development. Share-based compensation expense increased to $6.9 million from $4.5 million.
Outlook, risks and contingencies
Management expected operating losses and cash use to continue, with clinical-trial and contract-manufacturing spending expected to increase for rindopepimut, glembatumumab vedotin and varlilumab. It also expected higher commercial-planning and personnel costs. The company planned to prepare for possible rindopepimut commercialization in North America and Europe, but no candidate had been approved and no launch was assured. The filing gives no formal revenue or earnings guidance.
- Clinical outcomes, regulatory review, patient enrollment and trial timing could differ materially from management’s expectations. The lead programs are unapproved, and later-stage trial results may not confirm earlier findings.
- Celldex expected to need additional long-term financing. Equity financing could dilute shareholders; debt or partnerships could impose repayment, covenant, royalty or economic-sharing costs. Failure to obtain funding could force trial delays, program cuts or earlier licensing.
- The company depends on contract manufacturers, suppliers and clinical research organizations, including for late-stage trial materials; interruptions, quality problems or regulatory noncompliance could delay development.
- Competition, reimbursement and market acceptance could limit eventual commercial prospects. Intellectual-property exposure includes two European oppositions to a patent supporting varlilumab; the company said it intended to defend the patent.
- Potential license milestones and royalties are contingent and generally not recorded until achievement. Management estimated approximately $0.5 million of license and milestone payments in 2015. No material legal proceedings or off-balance-sheet arrangements were reported.
The independent auditor issued an unqualified opinion on the financial statements and internal control over financial reporting; management and the auditor reported internal controls effective as of December 31, 2014.
Important facts for investors to verify
- ACT IV interim and final data, including event timing, patient population and the primary endpoint results.
- Final ReACT results and whether the interim survival signal is confirmed in the complete dataset.
- METRIC enrollment progress, protocol/regulatory status and eventual efficacy and safety findings.
- Actual cash burn, financing needs and whether the reported cash runway assumptions remain achievable.
- Whether clinical supply, manufacturing capacity, and commercial infrastructure can support the company’s development and potential launch plans.
- Revenue concentration and recognition: Rockefeller and BMS represented 75% and 20% of 2014 revenue, respectively; confirm the timing of deferred collaboration revenue and future partner funding.
- Potential dilution, contingent license payments, and developments in the varlilumab patent oppositions.
