  • Q3 product royalties rose 124% to $2.32m; nine-month royalties increased 43% to $6.76m. These amounts were offset by equivalent royalty expense, principally related to Rotarix.
  • Nine-month revenue declined 25%, primarily because Pfizer-related development and licensing revenue recognized in 2010 did not recur after Pfizer terminated its rindopepimut agreement. The 2010 comparison also included $3.0m of TopoTarget-related other income.
  • At September 30, cash and cash equivalents were $13.10m and marketable securities were $49.68m, totaling $62.77m; working capital was $53.6m. Total assets were $108.45m and stockholders’ equity was $80.67m.
  • Term-loan balance was approximately $15.1m. The loan bears interest at the greater of LIBOR plus 6.25% or 9.50%, with principal installments scheduled to begin April 1, 2012 and maturity no later than December 30, 2013, subject to the agreement. Substantially all assets other than intellectual property secure the loan.
  • The company raised $35.9m net from stock sales in the first nine months, including a May offering of 11.5m shares that generated $33.7m net. Shares outstanding increased from 32.1m at year-end 2010 to 44.1m at September 30, 2011.

Changes, outlook, and risks

  • Operating loss increased 29% in Q3 and 12% for the first nine months; nine-month net loss increased 27%. Higher R&D spending and lower collaboration-related revenue and other income were principal drivers. R&D spending rose 8% for the nine-month period, particularly for rindopepimut and CDX-011 clinical work.
  • Management said available cash, investments, interest income, and cost controls should fund planned operations for at least 12 months from September 30, 2011. This is not a guarantee of longer-term funding. Management expected to seek additional capital through partnerships, licensing, business combinations, debt, or equity.
  • Celldex planned to begin a pivotal Phase 3 rindopepimut trial in newly diagnosed glioblastoma in Q4 2011, estimated to cost at least $50m; it also planned a Phase 2 rindopepimut/Avastin study. Management expected operating cash use to increase, primarily because of rindopepimut development.
  • Other stated development plans included completing enrollment in the CDX-011 breast-cancer Phase 2b study in Q4 2011, with preliminary data expected in mid-2012, and initiating Phase 1 studies of CDX-1127 and CDX-301 in Q4 2011.
  • Management cited substantial clinical, regulatory, manufacturing, partnership, and financing uncertainties. Inability to obtain acceptable funding could delay or discontinue trials or programs, force unfavorable financing or earlier licensing, or require a sale of the company. Additional equity could dilute shareholders; debt could add payment obligations and restrictive covenants.
  • Celldex was evaluating its potential remedies after GlaxoSmithKline began paying a lower Rotarix royalty rate, asserting that the product was not covered by certain licensed patents. The 70% royalty interest sold to Paul Royalty Fund and the agreement’s December 2012 termination date also affect future royalty economics.
  • Other notable items: the company terminated its CDX-1307 Phase 2 study in June 2011 to prioritize resources; recorded a $0.3m impairment of an intangible asset after terminating related intellectual-property rights; reported no legal proceedings and no material changes to previously disclosed risk factors. A Massachusetts sales-and-use-tax examination was ongoing.

Investor verification priorities

  • Confirm whether the planned rindopepimut Phase 3 trial started, its funding plan, and actual costs against the estimated minimum of $50m.
  • Assess cash burn, available liquidity, and the timing and terms of additional financing; the stated runway covers at least 12 months, not the full development horizon.
  • Review clinical-trial enrollment, data, safety, and regulatory progress for rindopepimut, CDX-011, and other priority programs.
  • Verify the resolution and financial impact of GlaxoSmithKline’s reduced Rotarix royalty payments and the related Paul Royalty Fund arrangements.
  • Review term-loan covenants, repayment schedule, security, and compliance as principal payments approach.
