ClearPoint Neuro, Inc. — 2019 Form 10-K
Reporting period: Fiscal year ended December 31, 2019. This is an annual report, not a standalone fourth-quarter report; the filing text does not provide separate Q4 financial results. The company develops and commercializes MRI-guided systems for minimally invasive brain procedures. Its commercial focus is the ClearPoint platform; ClearTrace, a heart-procedure candidate, remains in development with spending reduced.

- Functional neurosurgery revenue was $6.88 million, versus $5.35 million; ClearPoint cases increased 20%, to 801 from 670.
- Biologics and drug-delivery product revenue was $1.46 million and related services were $0.89 million. Capital equipment revenue was $1.04 million, compared with $0.42 million.
- Operating expenses included research and development of $2.92 million (+26%), sales and marketing of $4.76 million (+35%), and general and administrative expense of $4.30 million (approximately flat). Gross margin eased mainly because of a greater mix of lower-margin capital equipment and higher costs, partly offset by higher-margin services.
- At year-end, cash and equivalents were $5.70 million; current assets were $10.38 million and current liabilities $3.83 million. Total assets were $11.93 million, total liabilities $7.34 million, and stockholders’ equity $4.59 million.
- Year-end notes payable had a carrying value of $2.07 million, representing 2010 secured notes; the corresponding principal was approximately $2.8 million. The 2014 secured notes were repaid in June 2019. Net interest expense was $0.96 million, versus $0.98 million.
- Cash increased $2.59 million during 2019, primarily reflecting $7.43 million net proceeds from the May equity placement and $0.39 million from warrant exercises, partly offset by debt repayments and operating cash use.
Material changes and subsequent events
- Revenue growth reflected more ClearPoint cases and higher biologics/drug-delivery services and product sales, as well as more capital equipment sales. Management said 2019 prices did not materially affect typical orders.
- In January 2020, the company issued $17.5 million principal amount of five-year, floating-rate secured convertible notes. The notes are secured by company assets, bear interest at the greater of three-month LIBOR or 2%, plus 2%, and are convertible at $6 per share, subject to adjustment. The company used proceeds to retire approximately $2.8 million principal and $0.92 million accrued interest on the 2010 notes. Additional notes of up to $15 million could be requested through January 2022, but the noteholder is not required to purchase them.
- Management stated that year-end cash plus financing proceeds, after repayment of the 2010 notes, should fund operations for at least 12 months and alleviate substantial doubt about going concern. It nevertheless expected to continue using cash in operations.
- The company changed its name from MRI Interventions, Inc. to ClearPoint Neuro, Inc. in February 2020. PURSUIT received FDA clearance in January 2019; ClearPoint 2.0 had received clearance in November 2018.
Outlook, risks, and other notable matters
- Management anticipated higher revenue over the following 12 months from greater use at existing sites, new installations, and clinical services, alongside higher operating expenses. It expected lower operating losses and operating cash use but gave no quantified forecast and cautioned that results were uncertain.
- COVID-19 was identified as a risk: postponement of elective procedures could reduce current demand, with the effect dependent on uncertain developments.
- Key risks include ongoing losses and potential financing needs; adoption, reimbursement, and hospital MRI-suite availability; customer concentration; reliance on single-source suppliers and Irvine assembly operations; regulatory and clinical-development requirements; competition; product liability; and intellectual-property exposure.
- Customer concentration is significant: five largest hospital customers represented approximately 33% of 2019 ClearPoint disposable-product revenue; one biologics and drug-delivery customer represented approximately 52% of revenues in that business area. The filing also notes that sales generally are not supported by long-term committed-volume contracts.
- The company reported no material pending legal proceedings. The independent auditor gave an unqualified opinion on the financial statements. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor did not attest to management’s ICFR assessment.
Important facts for investors to verify
- Whether revenue and procedure growth can continue, particularly in functional neurosurgery and biologics/drug delivery, and how much is recurring versus dependent on customer trials or equipment sales.
- Whether the 2020 secured financing provides adequate runway after debt repayment, including interest, conversion, collateral, dilution, and any conditions on additional financing.
- The scale and duration of COVID-19-related procedure deferrals and their effect on hospital demand and customer-sponsored trials.
- Customer concentration, supplier alternatives, and the company’s ability to expand manufacturing and service capacity without impairing quality or delivery.
- Progress toward broader adoption, reimbursement support, and regulatory clearances for new applications; ClearTrace remains a development candidate with no assured commercial timeline.
