Net sales increased 6.6% in the quarter and 4.5% for the nine-month period. Price increases, acquired revenue and volume growth more than offset unfavorable foreign-currency translation. Nine-month operating cash flow was $16.9 million, compared with $23.7 million in the prior-year period. Capital expenditures were $9.5 million, and the company expects fiscal 2023 capital expenditures of $13 million to $15 million.

At December 31, 2022, cash and cash equivalents were $81.5 million, compared with $115.4 million at March 31, 2022. Cash, cash equivalents and restricted cash totaled $81.8 million. Inventory increased to $200.7 million from $172.1 million, principally reflecting supply-chain constraints. Total shareholders’ equity was $810.9 million.

Outstanding Term Loan B principal was $472.6 million, and total current and long-term debt and finance lease obligations reported on the balance sheet were approximately $481.5 million. The company had no revolver borrowings and $15.9 million of letters of credit outstanding. It repaid $30.4 million of debt during the first nine months.

Material changes versus the prior comparable period

  • Quarterly sales increased $14.3 million, including $11.9 million from price increases, $5.9 million from volume, and $4.9 million from Garvey; foreign-currency translation reduced sales by $8.4 million.
  • Quarterly gross margin improved 90 basis points, supported by pricing, lower prior-year acquisition and liability-related costs, and Garvey, partly offset by reduced productivity, unfavorable mix, tariffs and currency translation.
  • Nine-month gross margin improved 150 basis points, while operating income increased 41.5% and net income increased 93.7%.
  • General and administrative expense declined $10.1 million for the nine months, primarily because prior-year acquisition and integration costs did not recur. The current period included $0.9 million of net restructuring charges and a $1.2 million increase in Garvey contingent consideration.
  • Interest and debt expense increased to $20.3 million from $14.8 million for the nine months because of higher variable interest rates and acquisition-related borrowings.
  • The prior-year nine-month results included $14.8 million of debt-refinancing costs; no comparable cost was recorded in fiscal 2023.
  • Working capital reduced operating cash flow by $54.5 million, including a $31.7 million inventory increase and an $18.8 million decrease in accounts payable.

Guidance, outlook, risks and unusual items

  • Management expects a fiscal 2023 effective tax rate of approximately 30% to 32%.
  • Management expects fiscal 2023 capital expenditures of $13 million to $15 million and plans to repay approximately $40 million of Term Loan B principal over the next 12 months, including required payments.
  • Management believes cash on hand, operating cash flow and available borrowing capacity will fund operations, debt obligations and capital expenditures for at least the next 12 months, subject to execution of the business plan and effective working-capital management.
  • Supply-chain constraints, higher raw-material, freight and logistics costs, inflation, interest rates and foreign-currency movements remain important operating risks. The company has generally offset cost increases through pricing, but stated that it may not be able to do so in the future.
  • Goodwill totaled $642.4 million and other intangible assets totaled $367.7 million. Management reported no goodwill impairment indicators during the period, but adverse changes in revenue growth, margins, terminal growth rates or discount rates could result in future impairment.
  • Asbestos-related probable and estimable liability was approximately $7.1 million net of insurance recoveries, with expected payments of approximately $2.9 million over the next 12 months. Product-liability reserves were approximately $5.0 million, and environmental reserves totaled $0.7 million.
  • The company recorded a $1.2 million increase in contingent consideration related to Garvey and expects to pay the resulting obligation in fiscal 2024 from an escrow account.
  • There were no material changes to previously disclosed market risks or risk factors. Management concluded that disclosure controls and procedures were effective as of December 31, 2022.

Important facts for investors to verify

  • Whether pricing continues to offset raw-material, freight and logistics inflation without weakening demand or margins.
  • The pace of inventory normalization and conversion of working capital into operating cash flow.
  • Interest-rate exposure on variable-rate debt and the effect of planned debt repayments on interest expense and leverage.
  • Integration performance and profitability of the Garvey acquisition, including the contingent consideration payment.
  • The assumptions supporting the $642.4 million goodwill balance and the absence of impairment indicators.
  • The ultimate cost and timing of asbestos, product-liability, environmental and other contingent matters.
  • Whether the projected 30% to 32% fiscal 2023 tax rate and $13 million to $15 million capital-expenditure outlook remain achievable.
