COMPASS Pathways Plc annual report, FY2021

COMPASS Pathways plc — FY2021 Form 10-K

Reporting period: Fiscal year ended December 31, 2021. This annual filing reports full-year results, not standalone fourth-quarter results. COMPASS is a clinical-stage mental health company developing COMP360 psilocybin therapy with psychological support, initially for treatment-resistant depression (TRD). It has not generated revenue or commercialized a therapy.

Total operating expenses$83.2 million$51.4 million

Gross and operating margins are not meaningful because the company had no revenue. The filing reports no convertible notes outstanding at year-end and no material litigation or contingency reserves. Cash and cash equivalents increased by $83.0 million during 2021; financing activities provided $156.6 million, primarily from a $154.8 million follow-on offering.

Material changes and clinical developments

  • Net loss increased $11.4 million year over year. R&D expense rose $20.7 million, mainly from higher clinical-trial and personnel costs; G&A expense rose $11.2 million, including increased personnel, facilities, insurance and public-company costs.
  • Operating cash use increased $26.4 million. The company recognized a $9.6 million UK R&D tax-credit benefit, compared with $4.2 million in 2020. Foreign-exchange results shifted from an $11.7 million loss in 2020 to a $2.0 million gain in 2021.
  • In the 233-patient Phase IIb TRD trial, the 25mg dose produced a $6.6-point greater reduction in MADRS score than the 1mg comparator at Week 3 (p<0.001). Week 3 response rates were 36.7% versus 17.7%, and remission rates were 29.1% versus 7.6%, respectively. The 10mg dose did not show a statistically significant Week 3 difference versus 1mg.
  • In a separate, open-label study of 19 patients continuing SSRI treatment, 8 patients (42.1%) responded and all 8 met the study’s remission measure at Week 3. The small, uncontrolled study is preliminary evidence, not confirmatory efficacy evidence.
  • COMPASS began an open-label Phase II PTSD study planned for 20 participants. It also reported positive results from a separate exploratory TRD study; long-term follow-up of Phase II participants is ongoing.

Outlook, risks and unusual items

  • Management expects to initiate a Phase III TRD program in 2022 and estimates year-end cash will fund operating expenses and capital requirements into 2024. This runway estimate depends on assumptions and could prove shorter than expected; management expects substantial continuing losses and no near-term product revenue.
  • Key risks include Phase III results and regulatory approval; serious or unexpected safety findings; the need for additional capital; psilocybin’s Schedule I status and uncertain post-approval rescheduling; therapist and certified-site capacity; third-party manufacturing and supply dependence; reimbursement and market acceptance; and competition and patent challenges.
  • In the Phase IIb trial, 12 patients reported treatment-emergent serious adverse events. Reported events included suicidal ideation, behavior and intentional self-injury across all dose groups. The company reported no evidence at that time of a causal relationship to COMP360; most serious events occurred at least a week after dosing, and all reported suicidal behaviors occurred at least a month after dosing.
  • The company had $273.2 million cash and cash equivalents and cited a $150 million at-the-market offering facility, with no sales under that facility through the filing. It reported no material debt at year-end.
  • FY2021 includes a $9.6 million R&D tax-credit benefit and a favorable foreign-exchange result, both affecting reported loss. The auditor identified the R&D tax-credit benefit as a critical audit matter because of management judgments about eligible expenditures. The auditor issued unqualified opinions on the financial statements and internal control; management reported controls effective at year-end.
  • COMPASS ceased to qualify as a foreign private issuer and emerging growth company at year-end, bringing expanded U.S. reporting, governance and audit requirements.

Investor facts to verify

  • Review final, peer-reviewed Phase IIb data, including duration of response, subgroup results, missing data and the complete safety analysis, before relying on topline findings.
  • Track Phase III design, start date, enrollment, endpoints, costs and whether regulators require additional studies or safety data.
  • Assess the cash runway against planned trial and commercialization spending, and monitor use of the ATM facility or other financing for potential dilution.
  • Monitor FDA and DEA requirements, including approval conditions, scheduling, distribution controls and any REMS requirements; approval would not itself guarantee commercial rescheduling or access.
  • Verify the status and recoverability of UK R&D tax credits, material patent challenges and the company’s ability to secure qualified therapists, trial sites and manufacturing supply.
