For the nine months, revenue was $4.884 billion, up 4.3%; operating income was $480.9 million, up 4.0%; net income attributable to Concentrix was $244.4 million, down from $330.1 million; diluted EPS was $4.67 versus $6.28; and adjusted EBITDA was $783.9 million versus $746.2 million.

Q3 revenue growth included $26.8 million from acquired operations. Nine-month revenue growth included $154.9 million from acquired operations but was reduced by a $64.7 million unfavorable foreign-currency translation effect. Healthcare grew 17.0% and technology and consumer electronics grew 5.5% in Q3, while communications and media declined 8.0%.

Cash flow, liquidity and debt

  • Net cash provided by operating activities was $448.7 million for the first nine months, compared with $365.0 million in the prior-year period.
  • Capital expenditures were $115.7 million, producing reported free cash flow of $333.0 million versus $267.8 million.
  • Cash and cash equivalents were $2.113 billion at August 31, 2023, compared with $145.4 million at November 30, 2022. Approximately $1.889 billion consisted of senior-note proceeds subsequently used to fund the Webhelp transaction.
  • Long-term debt, net, was $3.973 billion at August 31, 2023, compared with $2.224 billion at November 30, 2022. Debt included $2.150 billion of senior notes and $1.850 billion outstanding under the term loan facility.
  • The company reported $1.766 billion of liquidity excluding cash held from senior-note proceeds, including $1.043 billion of undrawn revolving capacity, $500 million of undrawn securitization capacity and remaining cash.
  • The company stated that available cash, operating cash flows and credit sources should support operations and planned investments for at least the next twelve months.

Material changes versus the prior comparable period

  • Gross margin improved because of changes in the geographic mix of service delivery, but SG&A increased faster than revenue, causing a slight decline in operating margin.
  • Interest expense and finance charges increased to $49.3 million from $20.3 million in Q3 and to $130.5 million from $42.0 million for the first nine months. Drivers included higher debt balances and rates, senior-note interest and $10.7 million of Q3 Bridge Facility financing fees.
  • Other expense was $6.2 million in Q3 compared with $12.1 million of other income in the prior year. The change included foreign-exchange effects and losses on derivatives entered into for the Webhelp transaction.
  • Acquisition-related and integration expenses increased to $18.5 million in Q3 and $31.5 million for the first nine months, compared with $12.6 million and $15.2 million, respectively.
  • Investing cash outflows decreased substantially because the prior-year period included $1.705 billion of cash acquisitions of PK and ServiceSource.
  • On August 2, 2023, Concentrix issued $800 million of 6.650% notes due 2026, $800 million of 6.600% notes due 2028 and $550 million of 6.850% notes due 2033. The proceeds, term-loan borrowings and cash funded the Webhelp transaction and debt repayment.

Outlook, management commentary, risks and unusual items

The filing does not provide a specific quantitative revenue, margin or earnings guidance range. Management expects seasonally higher revenue and margins in the fourth fiscal quarter and expects future quarterly dividends, subject to board approval and financial, covenant and market conditions.

Webhelp consideration included cash, a €700 million sellers' note bearing 2% annual interest and due September 25, 2025, Concentrix shares and repayment of approximately $1.6 billion of Webhelp debt, net of Webhelp cash. The Webhelp purchase accounting remained preliminary at the filing date, including valuations of acquired assets, liabilities, intangible assets, taxes and goodwill.

  • Webhelp integration, employee retention, client relationships, expected synergies and management execution are significant risks.
  • Debt increased materially, and the Restated Credit Facility includes a leverage covenant generally limited to 3.75 to 1.0, or 4.25 to 1.0 for certain periods following qualifying acquisitions, and an interest coverage covenant of at least 3.00 to 1.0. The company reported compliance as of August 31, 2023.
  • Variable-rate debt creates interest-rate exposure; a 100-basis-point increase was estimated to increase annual interest expense by approximately $18.5 million.
  • Foreign-currency exposure, labor costs, inflation, client volume changes, contract termination, competition, cybersecurity, data protection, geopolitical conditions and acquisition execution may affect results.
  • The company hedges portions of its currency exposure but stated that hedges may not fully offset market impacts. A hypothetical 10% adverse currency movement in certain hedges was estimated to produce an approximately $99.5 million fair-value loss, substantially mitigated by underlying exposures.
  • Ordinary-course legal claims and tax indemnification obligations to TD SYNNEX remain outstanding; management does not expect them to have a material adverse effect, but liabilities could differ from recorded amounts.

Investor verification points

  • Verify the final purchase-price allocation, goodwill, intangible assets and post-closing operating contribution of Webhelp.
  • Reconcile post-acquisition debt, including the approximately €700 million sellers' note, term-loan balance, senior notes, interest costs and covenant calculations.
  • Assess whether projected Webhelp synergies and integration benefits are realized without disrupting employee retention or client relationships.
  • Monitor organic constant-currency growth excluding acquired operations, particularly in communications and media and other declining verticals.
  • Review cash conversion, capital expenditures, working-capital needs and liquidity after the Webhelp transaction consumed senior-note proceeds and cash.
  • Evaluate exposure to foreign-exchange and interest-rate movements, including the effectiveness and maturity profile of hedging arrangements.
  • Confirm the sustainability of dividends and share repurchases against higher leverage, debt-service obligations and acquisition-related funding needs.
