Revenue growth reflected increased volumes across most verticals and contributions from acquired operations, partly offset by unfavorable foreign-currency translation of $24.4 million in the quarter and $64.3 million year to date. Technology and consumer electronics, healthcare, retail, travel and ecommerce, and banking, financial services and insurance grew; communications and media and the “other” category declined.

Selling, general and administrative expense increased 3.9% in the quarter and 6.4% year to date, with its percentage of revenue rising to 25.9% from 25.6% in the quarter and from 25.5% year to date. Higher interest expense and finance charges were the primary reason GAAP net income and EPS declined.

Cash Flow, Debt and Liquidity

MetricSix Months Ended May 31, 2023Six Months Ended May 31, 2022
Cash provided by operating activities$237.3 million$212.5 million
Capital expenditures$71.8 million$71.2 million
Free cash flow$165.5 million$141.3 million
Cash used in investing activities$71.8 million$1.637 billion

At May 31, 2023, cash and cash equivalents were $152.9 million, and cash, cash equivalents and restricted cash were $162.3 million. Total assets were $6.560 billion and stockholders’ equity was $2.854 billion.

Long-term debt, net, was $2.131 billion, consisting principally of $1.850 billion outstanding under the term loan and $289.0 million under the accounts receivable securitization facility. Total liquidity was reported at $1.406 billion, including cash, $1.0425 billion of undrawn revolving capacity, and $211.0 million of undrawn securitization capacity. The company was in compliance with its debt covenants.

All outstanding debt under the senior credit and securitization facilities was variable rate. Management estimated that a 100-basis-point increase in interest rates would increase annual interest expense by approximately $21.4 million, holding other variables constant.

Material Changes Versus the Prior Comparable Period

  • Revenue increased, but GAAP net income declined 30.3% in the quarter and 25.4% for the six-month period.
  • Interest expense and finance charges increased to $47.2 million from $13.0 million in the quarter and to $81.2 million from $21.7 million year to date, reflecting higher interest rates and $11.8 million of bridge-facility and credit-agreement amendment fees.
  • Other expense was $9.4 million in the quarter versus other income of $2.5 million in the prior-year quarter. The change primarily reflected a $12.4 million loss on foreign-exchange call options related to the proposed Webhelp transaction.
  • Operating margins were broadly stable, while gross margins improved modestly and SG&A as a percentage of revenue increased.
  • Operating cash flow and free cash flow improved, while investing cash outflows declined substantially because the prior-year period included $1.565 billion paid for the PK acquisition.
  • Share repurchases were $14.9 million year to date, versus $57.9 million in the prior-year period. Approximately $339.1 million remained available under the repurchase authorization at May 31, 2023.

Outlook, Transactions, Risks and Unusual Items

The company did not provide a clear new revenue or earnings outlook in the filing. Management stated that existing cash, expected operating cash flow, and available credit resources should support operating and investment needs for at least the next twelve months. Future dividends remain subject to board approval and other factors.

The proposed Webhelp combination was valued at approximately $4.8 billion, including assumed net debt, and was expected to close by year-end subject to stockholder, regulatory, and other customary approvals. The consideration included €500 million of cash, a €700 million two-year sellers’ note bearing 2% interest, 14.862 million Concentrix shares, and potential earnout shares. The transaction had not closed as of May 31, 2023.

To support the transaction, Concentrix established bridge financing commitments and amended its credit agreement. The restated agreement provided for a $1.0425 billion revolving facility and approximately $2.145 billion of term-loan capacity, including approximately $294.7 million of delayed-draw capacity. Management expected total debt to increase to approximately $5.2 billion after completing the Webhelp transaction and related financing.

Key risks include failure or delay of the Webhelp transaction, required stockholder and regulatory approvals, potential termination fees of up to approximately $110 million, higher leverage and borrowing costs, integration and synergy execution, currency fluctuations, inflation and labor costs, cybersecurity and data privacy, client concentration or contract termination, employee retention, and general economic conditions. The company also faces foreign-exchange risk; approximately 80% of second-quarter revenue was generated from non-U.S. operations.

Acquisition-related and integration expenses were $7.4 million in the quarter and $13.0 million year to date, compared with $1.7 million and $2.6 million, respectively, in the prior-year periods. The company also recorded $12.4 million of losses on Webhelp-related call options and $11.8 million of Webhelp-related financing and amendment fees.

The company reported no new material legal proceedings and stated that existing commitments and contingencies were not expected to have a material adverse effect. Unrecognized tax benefits were $83.3 million at May 31, 2023.

Investor Verification Checklist

  • Confirm the final terms, financing structure, closing date, regulatory approvals, and shareholder dilution associated with the Webhelp combination.
  • Assess post-transaction leverage, interest costs, covenant headroom, refinancing needs, and the availability and cost of permanent debt financing.
  • Separate underlying operating performance from acquisition contributions, foreign-exchange effects, amortization, share-based compensation, and other non-GAAP adjustments.
  • Monitor gross margin, SG&A leverage, labor costs, client volumes, contract renewals, and performance in the declining communications and media and other verticals.
  • Evaluate the sensitivity of earnings and cash flow to variable interest rates and foreign-currency movements.
  • Review whether operating cash flow and free cash flow remain sufficient to fund capital expenditures, dividends, share repurchases, debt service, and transaction-related costs.
  • Verify the company’s ability to retain personnel and integrate Webhelp and ServiceSource while maintaining client relationships and service quality.
