Corvus Pharmaceuticals, Inc. — 2021 Form 10-K
Reporting period: Fiscal year ended December 31, 2021. This is an annual report, not a standalone Q4 filing; selected fourth-quarter figures are included below. Corvus is a clinical-stage biopharmaceutical company with no product sales and one reportable segment.
Financial performance and liquidity
- Revenue: No revenue from product sales in 2021; the company says it does not expect product revenue until a candidate is approved and commercialized.
- Operating expenses: $38.6 million, down from $43.8 million in 2020. Research and development was $29.1 million (down from $31.8 million); general and administrative expense was $9.5 million (down from $11.9 million).
- Loss: Net loss was $43.2 million, or $1.03 per share, versus a $6.0 million loss, or $0.20 per share, in 2020. The 2020 result included a non-cash $37.5 million gain on deconsolidation of Angel Pharmaceuticals. Excluding that unusual gain, the reported year-over-year net-loss comparison is substantially affected by this accounting item.
- Q4 2021: Operating expenses were $6.8 million; net loss was $9.2 million, or $0.20 per share. Q4 2020 had $9.9 million of operating expenses and net income of $27.3 million, largely reflecting the Angel deconsolidation gain.
- Cash flow: Cash used in operating activities was $36.7 million, compared with $34.8 million in 2020. Investing activities provided $21.6 million, primarily from marketable-security maturities; financing activities provided $62.2 million, mainly from equity offerings and ATM sales.
- Liquidity and balance sheet: Cash, cash equivalents and marketable securities totaled $69.5 million at year-end, compared with $44.3 million a year earlier. Working capital was $61.6 million; total assets were $109.5 million and total liabilities $12.3 million. The balance sheet shows no debt balance. Accumulated deficit was $266.4 million.
- Funding and commitments: The company reported $9.3 million of non-cancelable drug-substance purchase commitments for 2022 and lease payments extending through 2024. It raised $32.0 million net in a February 2021 follow-on offering and $29.0 million net through its ATM program during 2021. Shares outstanding increased to 46.6 million at year-end from 28.4 million.
Material changes and business developments
- R&D spending shifted toward mupadolimab: program costs rose to $14.1 million from $9.0 million, while ciforadenant costs fell to $1.5 million from $3.8 million and CPI-818 costs fell to $0.9 million from $2.7 million.
- Corvus owns approximately 49.7% of Angel Pharmaceuticals and accounts for it under the equity method. The company recorded a $4.8 million share of Angel’s 2021 loss, versus $0.2 million in the partial 2020 period.
- In August 2021, Corvus subleased 7,585 square feet of its Burlingame premises to Angel through February 2023. The facility lease was extended to February 2025.
- The company ended 2021 with three clinical-stage programs: mupadolimab, CPI-818 and ciforadenant. CPI-182 was in IND-enabling work; CPI-935 was a preclinical program.
Outlook, commentary and key risks
- Management said year-end cash and investments were expected to fund planned operations for at least 12 months from issuance of the financial statements. It also said existing resources would not fund all ongoing and planned development through commercialization; additional capital will be needed. No specific revenue or earnings guidance was provided.
- Corvus plans further development of mupadolimab, including a randomized Phase 2 first-line NSCLC study of approximately 150 patients, and a planned ciforadenant combination study in renal cell cancer. These are plans, not completed trials or assured milestones.
- Mupadolimab interim oncology observations included tumor regression in 7 of 16 evaluable NSCLC and head-and-neck cancer patients; the filing states these regressions did not meet RECIST partial-response criteria. A planned Phase 3 COVID-19 trial was discontinued in July 2021 because of positive vaccine trends, not stated safety or efficacy concerns. Preliminary results from 40 participants were not sufficiently powered for statistical significance.
- For CPI-818, preliminary data included responses in a small number of evaluable T-cell lymphoma patients; the trial remains early-stage. Ciforadenant results cited in the filing are from earlier studies and do not establish approval or future efficacy.
- Key risks include clinical-trial failure or delay, uncertain safety and efficacy, patient enrollment and COVID-19 disruption, reliance on contract manufacturers and trial vendors, regulatory and foreign-data acceptance, competition, intellectual-property exposure, and dependence on future financing. Equity financing may dilute shareholders; collaboration financing could require relinquishing rights.
- The company has no manufacturing facilities or commercial sales force and depends on third parties for manufacturing and clinical development. The filing reports no material litigation. Management concluded disclosure controls and internal control over financial reporting were effective as of year-end; the auditor did not attest to internal-control effectiveness.
Important facts for investors to verify
- Cash runway: assess the burn rate against the stated 12-month operating runway and the additional capital required to advance programs.
- Clinical evidence: confirm mature, statistically supported efficacy and safety data, especially for mupadolimab and CPI-818; distinguish tumor regression from RECIST responses.
- Financing and dilution: monitor ATM usage, follow-on financing needs, share-count growth and remaining authorized offering capacity.
- Angel Pharmaceuticals: verify its funding, development progress, Corvus’s effective ownership and governance rights, and the impact of its losses on Corvus’s investment.
- Commitments and accounting: review the $9.3 million 2022 drug-substance commitments, clinical-trial accrual estimates, and the effect of the 2020 Angel deconsolidation gain on period comparisons.
