Revenue growth included $7.6 million from the acquired flow cytometry and imaging (FCI) business, compared with $3.5 million in Q1 2023, when the acquisition contributed only part of the quarter. Excluding Q1 2024 FCI revenue, management reported organic revenue of $37.3 million, up 11% year over year. Service growth was attributed primarily to a larger installed base and related post-warranty contracts.

Product gross margin was 51%, versus 59%; management cited higher material and overhead costs. Service gross margin improved to 52% from 43%, reflecting operating efficiencies. Total margin was also pressured by higher costs, including one-time inventory adjustments associated with integrating Luminex inventories.

Liquidity, cash flow and obligations

At March 31, 2024, cash and cash equivalents were $168.8 million and marketable securities were $101.3 million; together these totaled approximately $270 million. Management said existing cash and expected operating cash flows should cover working capital and capital expenditure needs for at least the next 12 months. Operating cash flow was positive despite the quarterly net loss, with inventory and receivables reductions contributing cash.

Investing cash outflow was $5.8 million, primarily reflecting net purchases of marketable securities; Q1 2023 investing outflow was $168.9 million, including the $44.9 million FCI acquisition and investment purchases. Financing cash inflow was $1.6 million, including $1.4 million drawn under a China subsidiary credit agreement. The balance sheet reported $1.5 million of long-term debt and $1.9 million of current loan and line-of-credit liabilities. Separately, the BD settlement liability was $19.3 million, of which $2.6 million was current. Operating lease liabilities totaled $11.0 million.

Material changes, outlook and risks

  • Direct-channel revenue rose to $34.3 million from $25.5 million; distributor-channel revenue fell to $10.5 million from $11.6 million. EMEA revenue increased to $15.1 million from $10.0 million, while U.S. revenue rose to $21.4 million from $19.8 million.
  • Sales and marketing expense rose 13% to $12.5 million, mainly from additional personnel, acquisition-related customer-relationship depreciation and travel. General and administrative expense fell 6% to $11.4 million, largely due to lower FCI-related legal fees than in the prior-year quarter.
  • Interest income and other income declined year over year. Management attributed the lower interest income to lower average cash and investment balances, and the lower other income primarily to increased foreign-exchange losses.
  • No specific revenue or earnings guidance was provided in the supplied filing text. Management expects continued investment in research and development, commercial infrastructure, new products and manufacturing equipment, and expects expenses to increase as the business scales.
  • Management said macroeconomic uncertainty and funding constraints among some biotech and pharmaceutical customers contributed to longer sales cycles and may continue to affect results. Other disclosed risks include quarterly and seasonal sales variability, inventory forecasting and obsolescence, reliance on single- or sole-source suppliers, competition, international and foreign-exchange exposure, and regulatory requirements for clinical use.
  • Disclosure controls and procedures were deemed ineffective as of March 31, 2024 because of material weaknesses in the control environment and control activities, including insufficient qualified accounting and IT resources, inadequate IT access controls, and ineffective journal-entry and reconciliation controls. Remediation is underway; management gave no assurance that it will be sufficient.
  • The company reported no material pending legal proceedings. It continues to owe payments under its BD settlement and license agreement, including royalties on certain product sales. No share repurchases occurred in Q1; the prior $50 million repurchase program expired December 31, 2023.

Important facts for investors to verify

  • Whether organic growth—reported at 11%—continues after accounting for the FCI acquisition’s changing contribution to comparable periods.
  • Whether product margins recover following the Q1 decline and one-time inventory adjustments, and whether service growth converts into sustained profitability.
  • Whether operating cash flow remains positive as inventory, receivables and customer demand fluctuate, and how planned investment affects liquidity.
  • Progress in remediating the material weaknesses, including whether controls are tested and determined effective in later filings.
  • Exposure to the BD settlement’s remaining payments and royalties, supplier concentration, and customer sales-cycle delays.
