Cash and cash equivalents were $56.4 million at quarter-end, with $148.1 million in short-term investments. The $146.6 million investing cash outflow largely reflects purchases of short-term investments, rather than operating consumption. Operating cash flow also benefited from collection of the $35.0 million Moderna upfront and prepaid research payment. The company reported an accumulated deficit of $726.2 million.

Material changes versus the prior period

  • Revenue rose primarily from greater progress-based revenue under Bristol Myers Squibb (BMS), a $5.0 million Astellas clinical-candidate milestone, and recognition of $4.0 million of remaining deferred revenue when the AbbVie CD71 agreement ended.
  • Lower R&D and G&A expenses reflected the 2022 workforce reduction and reduced CX-2009 and CX-2029 activity, partly offset by increased IND-enabling work.
  • Interest income increased to $2.3 million from $0.1 million, primarily due to higher interest rates.
  • Cash and investments increased from year-end, while cash and cash equivalents alone declined as funds were moved into short-term investments.

Outlook, management commentary and risks

  • Management expects existing capital resources to fund planned operations into mid-2025, but says additional funding will be needed in the future; financing may not be available on acceptable terms. Spending may be reduced if results or financing do not meet expectations.
  • Management planned to submit INDs for wholly owned CX-2051 and CX-801 in the second half of 2023. CX-904, partnered with Amgen, was in Phase 1 dose escalation. These are plans, not guaranteed milestones.
  • In March 2023, AbbVie chose not to advance CX-2029 into further clinical studies; the collaboration terminated and CytomX has an exclusive option to reacquire full rights. Management said it would evaluate next steps. BMS prioritized BMS-986288 over BMS-986249 as its lead next-generation anti-CTLA-4 program.
  • The July 2022 restructuring reduced the workforce by approximately 40% and was substantially complete by year-end. A March 2023 sublease is expected to generate $4.8 million in future payments through 2026; Q1 sublease income was immaterial.
  • Material weakness: the company identified ineffective internal controls for applying ASC 606 to collaboration agreements and measuring progress on performance obligations. Disclosure controls were not effective as of March 31, 2023; remediation was ongoing and had not yet been validated over sustained reporting cycles.
  • Key risks include clinical and regulatory uncertainty, reliance on collaboration partners and third-party manufacturers, need for additional capital, and potential clinical-trial disruption. CX-2029’s reported Phase 2 update included anemia as a common treatment-related adverse event.
  • The Vytacera patent-infringement case remained pending, with deadlines stayed while a motion to dismiss is resolved; the company recorded no liability because it did not consider a loss probable. A California tax examination was ongoing; the company did not expect a material impact but could not estimate the potential impact.

Most important facts for investors to verify

  • Whether the stated mid-2025 cash runway remains achievable, given development spending, collaboration receipts and the need for future financing.
  • Progress, timing and results for CX-904 and the planned CX-2051 and CX-801 IND submissions; also CytomX’s decision on the CX-2029 rights option.
  • Partner priorities and continued funding or advancement of collaboration programs, which drive substantially all revenue and future potential milestone or royalty income.
  • Remediation and independent validation of the material weakness in revenue-recognition controls, including any further accounting changes.
  • Clinical safety and efficacy updates, including CX-2029 anemia findings, and developments in the Vytacera litigation and California tax examination.
