Outlook, risks and unusual items
The filing provides no specific earnings or revenue guidance. Management said truck-market backlog remained strong, but supply-chain constraints caused customer schedule volatility and hurt results. It described continued inflation in materials, labor and freight, chip shortages, supplier lead-time issues and uneven demand; management cited pricing actions, cost controls and efforts to recover higher costs. The company believed cash and revolver availability would support working capital, capital spending and debt service over the next 12 months, while cautioning that covenant compliance depends on actual results and cannot be assured.
Risks include the war in Ukraine, where approximately 1,200 employees work at the L’viv facility, potential facility disruption and cross-border shipment constraints; COVID-related shutdowns, including Shanghai; inflation, recession and customer or supplier stress; supply-chain disruption; foreign-exchange volatility; and variable-rate debt costs. Management said ordinary-course legal matters were not expected to have a material adverse effect, but outcomes are uncertain.
After quarter-end, on October 3, 2022, the company settled the remaining U.S. pension liabilities through a $25.2m annuity purchase from plan assets and expected to recognize an $8.1m non-cash settlement charge in Q4. The nine-month results already included a $1.1m non-cash pension settlement charge. Disclosure controls were judged effective as of September 30, 2022.
