Q2 revenue declined 2.7% year over year, while gross profit fell 36.3% and net income fell 51.2%. For the first half, revenue decreased 1.6%, gross profit decreased 27.8%, and net income decreased 52.4%. Management attributed margin pressure primarily to supply-chain disruption, labor and raw-material inflation, and higher freight costs. Pricing actions partly offset material cost increases.
Warehouse Automation was the principal revenue headwind: segment revenue declined 47.5% in Q2 and 36.5% for the first half, reflecting lower customer demand. Q2 revenue increased in Vehicle Solutions, Electrical Systems, and Aftermarket & Accessories, but operating income declined in Vehicle Solutions and Aftermarket & Accessories. Electrical Systems operating income improved in Q2, primarily with improved pricing. Foreign currency translation reduced reported revenue by $4.8 million in Q2 and $5.9 million in the first half.
Cash flow, debt, and liquidity
- First-half operating cash flow was negative $4.5 million, compared with negative $24.8 million in 2021. Working-capital movements included increases in accounts receivable and inventory.
- First-half capital expenditures were $8.6 million; management expected full-year 2022 capital expenditures of $22–$25 million.
- Cash was $28.5 million at June 30, down from $35.0 million at year-end 2021. Total debt was $205.9 million, including $175.0 million under the term loan and $31.0 million under the revolver.
- Reported liquidity was $146.3 million: $28.5 million cash plus $117.8 million available under the revolving facility. The company had $1.2 million of letters of credit outstanding. Most cash, $28.4 million, was held by foreign subsidiaries.
- In May 2022, CVG amended its senior secured facilities, increasing commitments from $275 million to $325 million, extending maturity to May 12, 2027, and reducing interest rates by 50 basis points at applicable leverage tiers. The amendment also added a one-time $45 million capital-project basket, separate from the annual $35 million capital spending cap. The amendment generated a $0.9 million debt-extinguishment loss.
- CVG reported compliance with its debt covenants at June 30, 2022. The agreement includes a 1.20:1.0 minimum fixed-charge coverage ratio and a maximum leverage ratio that steps down from 3.75:1.0 to 3.00:1.0 by September 2023. Management said it expects to maintain covenant compliance over the next 12 months, while cautioning that results could differ from its forecasts.
Outlook, risks, and unusual items
- The filing provides no specific revenue or earnings guidance. Management cited strong truck-market backlog but continuing supply-chain constraints, volatile customer production schedules, inflation, labor shortages, chip shortages, and higher freight costs.
- CVG reported temporary shutdowns at its Shanghai facility during the first half. Its L’viv, Ukraine facility temporarily shut down after Russia’s invasion but resumed operations; the company also established additional capacity in the Czech Republic. Risks include renewed disruption, power outages, cyberattacks, employee conscription, and interruption of cross-border shipments.
- A restructuring program approved in November 2021 is intended to align costs and support margin expansion. CVG incurred $2.7 million of costs in the first half of 2022 and estimated total program costs of $4.6–$6.0 million.
- CVG completed renegotiation of its agreement with Volvo in Q2 and said the relationship will continue on mutually agreed terms.
- Other notable items include a $3.9 million cash settlement of existing interest-rate swaps, with the gain recorded in other comprehensive income and recognized over the settled swaps’ remaining life; estimated contingent consideration of $4.6 million; and plans to complete settlement of U.S. pension-plan liabilities between Q4 2022 and Q1 2023.
- Management said ordinary-course legal matters are not expected to have a material adverse effect, but noted outcomes are uncertain. The company also disclosed customer disputes and warranty exposure; the warranty reserve was $1.2 million at June 30.
Investor verification points

- Monitor operating cash flow and working capital, particularly receivables and inventory, alongside the stated capital expenditure range.
- Verify debt balances, revolving availability, interest costs, and compliance as leverage covenant thresholds tighten.
- Assess operational and shipping continuity in Ukraine and China, and the impact of broader supply-chain, labor, freight, and geopolitical disruption.
- Follow restructuring costs and benefits, the pension-plan settlement, contingent consideration, and any material developments in customer disputes or warranty claims.
