CYTOKINETICS INC quarterly report, Q2 FY2017

Cytokinetics, Inc. — Q2 2017 Form 10-Q

Reporting period: Quarter and six months ended June 30, 2017. Cytokinetics is a late-stage biopharmaceutical company developing muscle-function therapies; it had no commercial drug sales and relied on collaborations, financing and grants.

Financial performance and position

MetricQ2 2017Six months 2017Comparable 2016
Total revenue$3.1m$7.2mQ2 $5.8m; six months $14.2m
Operating expenses$28.2m$55.7mQ2 $16.8m; six months $37.2m
Operating loss$25.2m$48.4mQ2 $11.0m; six months $23.0m

Basic and diluted loss per share$0.60$1.22Q2 $0.29; six months $0.61
  • Q2 research and development expense rose to $19.8m from $9.7m; first-half expense increased to $39.1m from $23.3m, primarily due to tirasemtiv clinical and regulatory-readiness work and increased personnel. General and administrative expense also increased: $8.4m in Q2 and $16.6m for the half-year.
  • Q2 research, grant and other revenue was negative $1.9m, reflecting the accounting treatment of the omecamtiv mecarbil co-investment payment to Amgen. The company reported $4.9m of Q2 license revenue. Its development-stage loss profile means conventional profit margins are not meaningful.
  • Six-month operating cash use was $52.2m, versus $28.7m in 2016. Cash and cash equivalents were $100.7m; short- and long-term investments totaled $231.4m. Combined cash and investments were $332.1m at June 30, up from $163.9m at December 31, 2016. Working capital was $285.9m.
  • Debt carrying value was $30.2m, including $7.3m classified as current. The company also reported a $96.7m net liability for the sale of future royalties; related non-cash interest expense was $6.0m for the first half.

Changes and financing

  • Compared with the first half of 2016, total revenue fell about 49%, operating expenses rose about 50%, and net loss more than doubled. Revenue included collaboration and license amounts, offset in part by the Amgen co-investment payment.
  • Financing activities provided $222.3m in the first half, including public-offering proceeds, the $90m royalty monetization with RPI, ATM offering proceeds, and warrant exercises. The company issued shares in both public offerings and the RPI transaction, increasing the share count.
  • Under its Amgen agreement, Cytokinetics committed to co-invest $40m in Phase 3 omecamtiv mecarbil development in exchange for incremental potential royalties and North American institutional co-promotion rights. Future payments due to Amgen were $31.3m at quarter-end.

Outlook, risks and unusual items

  • Management expected research and development and general and administrative expenses to increase significantly in 2017. It also stated that existing resources should fund operations for at least 24 months in the MD&A, while Note 1 states at least 12 months from the filing date; investors should resolve this difference against the filed statements and assumptions.
  • Clinical priorities included the Phase 3 VITALITY-ALS trial of tirasemtiv, CK-2127107 development with Astellas, and the Phase 3 omecamtiv mecarbil program led by Amgen. VITALITY-ALS enrollment was complete; its data monitoring committee recommended continuing without modification, and the company had revised the statistical hierarchy for selected secondary endpoints.
  • The company warned that trial outcomes, regulatory acceptance of ALS respiratory endpoints, partner decisions, funding availability, manufacturing, competition and commercialization could materially affect results. It has never generated product-sales revenue and expects continuing operating losses and cash outflows.
  • Potential Amgen and Astellas milestones and royalties are contingent on development, approvals or sales and are not assured. The royalty monetization payment is nonrefundable even if omecamtiv mecarbil is never commercialized; the recorded liability depends on estimated future royalties and includes Level 3 valuation inputs.
  • Management reported no material legal proceedings and no known indemnification matter expected to materially affect the company. Disclosure controls were deemed effective; no material change in internal control was reported. The filing also refers to a prior-period R&D accrual control weakness, which management said had been remediated by year-end 2016.
  • After quarter-end, the company reported starting the FORTITUDE-ALS Phase 2 trial in July 2017 and, in August, Japanese omecamtiv mecarbil trial results. These are subsequent developments, not Q2-period results.

Important facts for investors to verify

  • Reconcile the stated 12-month versus 24-month liquidity runway and review the assumptions behind management’s forecast.
  • Track cash burn, the timing and cost of tirasemtiv development, the remaining $31.3m Amgen co-investment commitment, and any need for further capital.
  • Assess VITALITY-ALS endpoints and results, regulatory feedback on clinical meaningfulness, and the progress and results of CK-2127107 and omecamtiv mecarbil trials.
  • Review the potential dilution from equity issuance and the assumptions underlying the royalty-sale liability and its non-cash interest accretion.
