- Q2 net premiums written were $165.6 million, up 9.3%; first-half net premiums written were $322.2 million, up 8.8%. Management attributed growth to rate increases, more commercial business and termination of MICO’s third-party quota-share reinsurance effective January 1, 2015. The reinsurance change contributed $3.2 million of Q2 and $6.6 million of first-half commercial written-premium increases, and $2.1 million and $4.1 million, respectively, in personal lines.
- Q2 net investment income rose to $5.2 million from $4.6 million; first-half income rose to $10.1 million from $9.2 million. Net realized investment gains declined to $0.4 million in Q2 from $2.0 million, and to $1.4 million for the half-year from $1.9 million.
- Loss ratios improved: GAAP loss ratio was 65.0% in Q2 versus 71.7%, and 65.2% for the half-year versus 72.4%. Underwriting expense ratio increased to 33.3% in Q2 from 31.9% and to 33.0% for the half-year from 31.6%, which management attributed primarily to higher incentive costs associated with lower loss ratios.
- Prior-year reserve development remained unfavorable, approximately $4.0 million in Q2 and $3.4 million for the first half, but was lower than the respective $6.0 million and $5.6 million in 2014.
Financial position, debt and liquidity
- At June 30, 2015, total assets were $1.519 billion, investments $862.7 million, cash $36.9 million, total liabilities $1.082 billion and stockholders’ equity $437.1 million. Equity was $416.1 million at December 31, 2014.
- Unpaid losses and loss expenses were $565.2 million, including $254.3 million of reinsurance recoverables. Unearned premiums were $436.8 million.
- Reported borrowings were $47.5 million, down from $53.5 million at year-end. This comprised $32.5 million drawn on the $60 million M&T revolving facility and $15 million of Atlantic States’ FHLB advances. The revolver expires in July 2017; the reported rate on it was 2.44%. The filing reports covenant compliance.
- First-half operating cash flow was $34.2 million; investing activities used $34.9 million and financing activities provided $2.1 million. Management attributed the year-over-year operating cash-flow improvement primarily to lower claim payments.
- The board declared a quarterly dividend payable in August 2015 of $0.135 per Class A share and $0.1175 per Class B share. Insurance-subsidiary dividends to the parent are subject to regulatory limits; approximately $31.2 million was available for distribution in 2015 without prior approval.
Changes, outlook and risks
- Profitability improved materially from the prior-year quarter and half-year, with combined ratios below 100% in both 2015 periods. Commercial lines’ statutory combined ratio improved to 92.4% in Q2 from 105.8%; personal lines remained near break-even at 99.4%.
- Other comprehensive income was negative $3.9 million for the first half, principally reflecting unrealized investment valuation changes; accumulated other comprehensive income declined to $1.4 million from $5.4 million at year-end.
- The filing gives no quantified earnings or premium guidance. Management cautions that interim results are not necessarily indicative of full-year results and expresses confidence that reserves are adequate, while noting ultimate claim liabilities may differ from estimates.
- Key risks include reserve estimation and adverse development, severe weather and catastrophe losses, reinsurance availability and collectability, interest rates, investment credit and valuation risk, competition, legal developments and regulation. Management said there were no material changes to previously disclosed risk factors and no material change in market-risk exposure.
- No legal proceedings were reported. The filing reports no investment impairment losses in the first half. MICO’s cessation of external quota-share reinsurance is a notable change in risk retention. No material commitments for capital expenditures were reported.
Important facts for investors to verify
- Whether premium growth persists after separating rate increases and the MICO reinsurance change from underlying policy growth.
- Whether favorable loss-ratio trends continue and prior-year reserve development remains contained; the filing estimates that a 1% change in net loss reserves would affect pretax results by about $3.1 million.
- Whether higher underwriting expense ratios and incentive costs offset continuing claims improvement.
- Reinsurance recoverability and the company’s exposure to catastrophe losses, especially after MICO ended its quota-share arrangement.
- Investment portfolio valuation, interest-rate sensitivity, and the effect of unrealized changes on equity and comprehensive income.
- Liquidity and refinancing of the revolver, debt maturities, and regulatory limits on subsidiary dividends to the parent.
