Financial position and liquidity

  • At June 30, 2012, cash and cash equivalents were $42.2 million, current marketable securities $66.3 million, and long-term marketable securities $5.2 million. Management reported $108.5 million in cash, cash equivalents and short-term securities, versus $106.2 million at September 30, 2011.
  • Working capital was $146.7 million, compared with $142.7 million at September 30, 2011. Total liabilities were $22.4 million; the balance sheet shows no interest-bearing debt.
  • Cash declined by $12.5 million over the nine-month period. Investing activities used $21.1 million, primarily reflecting net purchases of marketable securities; financing activities provided $1.5 million.
  • Management said existing liquidity, operating cash generation and access to financing should fund operations for at least the next 12 months. Fiscal 2012 capital expenditures were expected to be approximately $4.3 million.

Material changes and management commentary

  • Quarterly sales weakness was concentrated in North America and non-embedded products. Management cited expected customer purchases that came in below expectations, prior-year large nonrecurring customer orders, delays in projects, and continued declines in mature products.
  • For the quarter, non-embedded sales fell 20.5%; embedded sales fell 3.2%. Wireless sales declined 8.1%, while wired sales declined 15.2%. For the nine months, embedded sales rose 4.0% and wireless sales were nearly flat, while non-embedded and wired sales declined 14.2% and 10.4%, respectively.
  • Management expects mature wired products to continue declining and anticipates wireless products to grow faster than wired sales decline, while warning that the transition may produce uneven demand. Sales of certain mature embedded products, including Rabbit products, are also expected to decline.
  • Gross margin improved slightly, mainly because purchased and core technology amortization decreased as certain assets became fully amortized. Lower quarterly revenue increased manufacturing costs as a share of sales; cost savings and product mix partly offset that pressure. Operating expenses rose as a percentage of sales, including a $1.0 million U.S. restructuring charge.

Guidance, unusual items, risks and contingencies

  • The company recorded a $1.1 million discrete tax benefit in the quarter from additional research and development credits for prior fiscal years. The nine-month effective tax rate was 20.6%, versus 31.8% a year earlier; the filing says discrete benefits reduced the 2012 nine-month rate by 18.6 percentage points.
  • The April 2012 U.S. restructuring eliminated 30 positions and included severance and facility-vacating costs. The charge was approximately $1.0 million pretax and reduced diluted EPS by $0.02; related actions and payments were expected to be completed by the second quarter of fiscal 2013.
  • On July 25, 2012, after quarter-end, the board authorized repurchases of up to $20 million of common stock through September 30, 2013.
  • Goodwill was $85.5 million. The annual June 30 impairment assessment indicated no impairment, with estimated fair value exceeding carrying value by 39% after applying a 40% control premium. A future impairment could materially affect results and the balance sheet.
  • Two patent infringement lawsuits remained unresolved; the company said it could not predict outcomes or estimate potential losses. A separate collection dispute was settled without material impact. The filing also identifies foreign exchange, customer demand, competition, product transitions, supply-chain disruption and securities impairment as risks.

Important facts for investors to verify

  • Whether customer project delays and weaker-than-expected North American demand persist, and whether the M2M solutions strategy converts into revenue.
  • Whether wireless growth can offset continued declines in mature wired and other legacy products, and how the transition affects margins and sales volatility.
  • Operating cash generation, inventory levels and liquidity, including the availability and performance of the securities portfolio.
  • Progress and remaining costs of the U.S. restructuring; potential outcomes of the patent litigation; and assumptions supporting the goodwill impairment assessment.
  • The sustainability of earnings excluding the $1.1 million tax benefit and the effect of the new share repurchase authorization.
