Business context and reporting period
DouYu International Holdings Limited’s Form 20-F is an audited annual report for the fiscal year ended December 31, 2022, prepared under U.S. GAAP. It is not a standalone 2022 Q4 financial filing; the filing provides annual financial results and selected fourth-quarter operating metrics. DouYu operates a China-focused game and eSports livestreaming platform. It is a Cayman Islands holding company whose China business is conducted substantially through subsidiaries and VIEs.

- Cost of revenue fell 24.2% to RMB6.118bn, principally as revenue-sharing and content costs declined. Total operating expenses fell 31.6% to RMB1.189bn.

Liquidity, cash flow and obligations
At December 31, 2022, cash and cash equivalents were RMB4.042bn; short-term bank deposits were RMB2.511bn and long-term bank deposits RMB250m. Current assets were RMB7.077bn against current liabilities of RMB1.559bn. Total liabilities were RMB1.585bn. The filing reports no material borrowing debt; lease liabilities totaled RMB47.1m, including current and non-current portions. Cash and cash equivalents plus bank deposits totaled approximately RMB6.803bn.
Cash used in investing activities was RMB608.6m, primarily reflecting purchases of bank deposits net of maturities, and cash used in financing activities was RMB109.0m, principally share repurchases. Cash, cash equivalents and restricted cash declined by RMB419.4m during the year. Management said existing cash and anticipated operating and financing cash flows should cover current expected working-capital and capital needs. It cautioned that additional financing may be needed if business conditions or future investments change.
Changes, outlook, risks and unusual items
- Revenue fell 22.4% year over year. Management attributed lower livestreaming revenue mainly to fewer paying users, reduced marketing for lower-return user acquisition, and a stable operating strategy; lower advertising revenue reflected weak macroeconomic demand. Reduced procurement of certain eSports tournament rights also contributed to lower audience metrics and bandwidth costs.
- Despite continued annual losses, the net loss narrowed substantially and gross margin improved. Adjusted net loss also narrowed; this is a non-GAAP measure and should be assessed alongside GAAP results.
- Other operating income included a settlement gain related to the IPO securities class actions. The settlement received final approval in December 2022; total payment was US$15.0m, with US$12.8m covered by insurance, and payments were completed by year-end.
- After year-end, in April 2023, Wuhan Ouyue agreed to pay RMB450m for a non-exclusive League of Legends match-broadcasting license for 2023–2025. This is a material subsequent commitment, not a 2022 expense.
- DouYu relies on VIE contractual arrangements rather than ownership of the operating entities; VIEs generated 99% of 2022 revenue. Their enforceability and the PRC regulatory framework remain significant risks. PRC rules may also affect data handling, licensing, foreign listings, cash transfers and dividend payments.
- The company reported that it had not received a CAC cybersecurity-review notice as of the report date. New overseas-listing filing rules effective March 31, 2023 may apply to future refinancing. The PCAOB reported full inspection access in 2022, but future access and related U.S. trading risks remain uncertain.
- No formal financial guidance was provided. DouYu said it intended to retain available funds and future earnings rather than pay dividends in the near future. The filing identifies user and streamer retention, eSports content access, regulation, competition and monetization as key risks.
Important facts for investors to verify
- Confirm the deterioration in revenue and paying-user trends, and whether the company’s operating strategy can stabilize engagement and monetization.
- Review the audited consolidated statements and cash-flow details, including the composition, accessibility and currency denomination of cash and bank deposits; cash held by PRC entities may not be freely transferable offshore.
- Assess the RMB450m League of Legends rights commitment against future content costs, cash generation and expected audience or revenue contribution.
- Evaluate the VIE structure, key operating licenses, PRC regulatory developments and the ability to move funds from operating entities to the holding company.
- Check the assumptions behind investment impairment charges of RMB78.5m and the company’s PFIC disclosure: DouYu said it was likely a PFIC for 2022 and that PFIC status for 2023 and later years was uncertain.
- Note the auditor issued unqualified opinions on the financial statements and internal controls as of December 31, 2022; assess the continuing PCAOB inspection and HFCAA risk separately.
