Revenue for the nine-month period was primarily from 5G messaging ($2.99 million); acoustic intelligence generated $216,354 and smart city $169,149. Management attributed the revenue decline mainly to lower 5G messaging activity and a deliberate reduction in lower-margin SMS business. Quarterly revenue and gross profit fell sharply, while lower operating expenses partly offset the impact on losses. Quarterly R&D expense rose 23% year over year; nine-month R&D expense declined 26%.

Liquidity, debt and balance sheet

  • Cash was $43,155 at March 31, 2023, down from $164,217 at June 30, 2022. Nine-month financing cash inflow of $2.24 million largely came from loans and amounts due to related parties.
  • Current assets were $1.92 million and current liabilities $5.49 million, producing a $3.57 million working-capital deficit and a 0.35 current ratio, versus a $868,000 deficit and 0.59 ratio at June 30, 2022.
  • Total liabilities were $5.64 million, compared with $2.16 million at June 30, 2022; stockholders’ equity was a $2.25 million deficit. Loan payables totaled approximately $1.78 million, including $1.64 million current. The filing describes certain bank loans bearing annual rates of 8.7%–18%; a substantial unrelated-party loan balance was interest-free and due by June 30, 2023.
  • Accounts receivable increased to $975,020 from $259,410. Management reported no allowance against receivables, although a $513,701 receivable from Heqin was fully reserved in other current assets.

Changes, outlook and material risks

  • Management says lower-margin 5G SMS sales were reduced in favor of customers able to prepay. The shift improved nine-month gross margin, but quarterly gross margin declined year over year.
  • The company reported recurring losses, a $22.51 million accumulated deficit, low cash and continuing operating cash outflows. Management stated these conditions raise substantial doubt about the company’s ability to continue as a going concern. Additional financing may be needed; availability and terms are not assured and equity financing could dilute shareholders.
  • Management described air sterilization equipment, overseas sales, 5G messaging and new acoustic products as growth opportunities, but provided no quantified financial guidance. COVID-related product demand may decline as restrictions ease; any future recovery in demand is uncertain.
  • Announced commercial arrangements should not be treated as realized revenue: a 5G recharge agreement allows purchases up to approximately $29.81 million over 12 months, and reported Hailijia distribution/marketing agreements totaled approximately $20 million. The filing does not establish that these amounts are firm, fully funded orders or will be recognized as revenue.
  • On April 5, 2023, the company issued 1,276,600 shares to employees and consultants, valued at approximately $1.52 million. On April 25, it disclosed a new $435,118, 12-month loan at a preferential 2.35% annual rate.
  • Nasdaq had notified the company that its market value of listed securities was below the $35 million continued-listing threshold; the stated compliance deadline was June 7, 2023. The notice had no immediate listing effect when disclosed.
  • Disclosure controls were assessed as ineffective due to weaknesses in segregation of duties and risk assessment, U.S. GAAP expertise, and accounting/reporting policies. The company relies on contractual VIE arrangements rather than direct equity ownership of its principal PRC operating entity.
  • The company reported no pending legal proceedings and no material contingencies as of March 31, 2023. Its financial statements include no adjustments that might result from the going-concern uncertainty.

Investor verification priorities

  1. Verify cash availability, near-term debt maturities and repayment of the unrelated-party loan, related-party balances, and the company’s financing runway.
  2. Check whether announced contracts and distribution agreements convert into delivered orders, cash collections and recognized revenue; assess customer and distributor concentration.
  3. Reconcile receivables, especially the fully reserved Heqin balance, and monitor collection performance and any change in credit-loss allowances.
  4. Confirm the status of Nasdaq listing compliance and assess the dilution impact of the April share issuance and any additional capital raising.
  5. Review progress remediating material weaknesses in internal controls and evaluate the legal and operational risks of the PRC VIE structure.
