Cash, debt and liquidity

  • Cash and cash equivalents were $2.130 billion; short-term investments were $1.743 billion and long-term non-equity investments were $1.546 billion. The company reported $4.9 billion in cash, cash equivalents and non-equity investments, excluding customer funds and restricted customer cash.
  • Total debt was $7.725 billion, including $1.551 billion classified as short-term and $6.174 billion long-term. The current portion primarily reflects senior notes due in 2024. No commercial paper or revolving-credit borrowings were outstanding.
  • eBay had $2.0 billion of available borrowing capacity under its new five-year revolving credit facility, subject to customary conditions, and reported compliance with debt covenants.
  • Investing activities provided $250 million, largely reflecting investment maturities and sales; financing activities used $686 million. Capital expenditures were $143 million.
  • Management stated that available liquidity, expected operating cash flow, borrowing capacity and capital-market access should meet material cash requirements over the next 12 months and for the foreseeable future.

Changes, outlook and management commentary

  • Revenue growth was driven by focus-category investment and higher take rate, including promoted listings, eBay International Shipping and payment services. Lower traffic amid geopolitical events, inflation, higher interest rates and weaker consumer confidence weighed on activity.
  • Revenue growth exceeded GMV growth primarily because of the higher take rate. Management expects this pattern to continue to a lesser extent in 2024. The filing provides no numerical full-year revenue or earnings guidance.
  • Management said reduced traffic and macroeconomic pressures experienced in 2023 and Q1 2024 were uncertain in duration and expected to continue in 2024. Elevated foreign-exchange volatility was also expected to persist.
  • Effective January 1, 2024, eBay extended the estimated useful lives of servers and networking equipment from three years to four years. This reduced Q1 depreciation expense by $26 million and increased net income by $21 million, or $0.04 per basic and diluted share.
  • Net investment and warrant results shifted from a $198 million gain in Q1 2023 to a $97 million loss in Q1 2024, principally due to a $234 million unrealized Adevinta investment loss, partly offset by a $149 million Adyen warrant gain.
  • Operating cash flow fell to $615 million from $841 million, primarily due to working-capital movements and changes in non-cash items. Higher interest income from yields on interest-bearing instruments was expected to continue to a lesser extent in 2024.

Contingencies and notable events

  • eBay paid $59 million under a January 2024 DEA/DOJ settlement resolving allegations under the Controlled Substances Act and agreed to enhanced listing-monitoring and reporting processes.
  • Under a separate deferred prosecution agreement related to the 2019 harassment of Ecommercebytes’ editor and publisher, eBay paid a $3 million penalty and is subject to an independent compliance monitor for three years. The editor and publisher’s civil action remains pending.
  • A separate DOJ civil complaint on behalf of the EPA alleges violations involving regulated products listed by third parties. eBay intends to defend the claims; potential remedies could include monetary damages or changes to business practices. eBay accrued $64 million in aggregate probable losses for the described matters and cautioned that additional losses could be material in a particular period.
  • eBay supported the Adevinta tender offer. After quarter-end, on April 24, 2024, required regulatory approvals were reported as obtained; closing was expected May 29, subject to customary conditions. The planned transaction includes an estimated $2.2 billion sale of half of eBay’s shares and an exchange of the remainder for an approximately 20% stake in the privatized company.
  • The board authorized an additional $2.0 billion for repurchases in February. eBay repurchased approximately $499 million of stock in Q1, with approximately $2.9 billion remaining authorized, and paid $139 million in dividends. A quarterly dividend of $0.27 per share was declared for payment in June 2024.

Most important facts for investors to verify

  • Whether marketplace traffic, GMV and take-rate trends support sustained revenue growth, particularly as management expects the revenue-over-GMV growth pattern to moderate.
  • The cash-flow trend and the extent to which Q1’s decline reflects timing and working capital versus underlying operating performance.
  • The effect of the server and networking equipment useful-life estimate on reported depreciation, operating margin and earnings.
  • Future valuation changes in Adevinta and the Adyen warrant, which materially affected Q1 reported earnings; Adevinta’s planned transaction remained subject to closing conditions at filing.
  • Developments in the EPA litigation and other legal matters, including potential costs beyond the $64 million accrued and any required changes to marketplace practices.
  • Liquidity and debt maturity management, including the $1.551 billion current debt classification, while eBay continues repurchases and dividends.
  • Macroeconomic, foreign-exchange, regulatory, fraud, cybersecurity and consumer-spending risks. The company reported no material changes to risk factors from its 2023 Form 10-K.
