Fourth-quarter revenue was $2.510 billion, compared with $2.613 billion in fourth-quarter 2021, a decrease of about 4%. The filing text does not provide a clear standalone Q4 profit or cash-flow figure.

Consolidated net loss was $1.269 billion, or $2.27 per diluted share, versus net income of $13.608 billion, or $20.54 per diluted share, in 2021. The prior-year result included $13.356 billion of income from discontinued operations, primarily divestiture gains; 2022 included only $5 million from discontinued operations. Continuing-operations results are more useful for comparing the ongoing business.

Net losses on equity investments and the Adyen warrant totaled $3.786 billion in 2022, including a $2.693 billion unrealized loss on Adevinta. The income-tax line was a $327 million benefit for the year. These items materially affected reported GAAP earnings and are distinct from Marketplace operating performance.

At year-end, eBay reported $5.9 billion of cash, cash equivalents and non-equity investments. Total debt was $8.9 billion, including $1.15 billion due within 12 months; eBay subsequently repaid $1.2 billion of notes in January 2023. It had no commercial-paper borrowings or revolver borrowings at year-end, and reported compliance with debt covenants. 2022 capital returns included $3.1 billion of share repurchases and $489 million of cash dividends.

Material changes and management commentary

  • Revenue and GMV declined as pandemic-era online-shopping activity normalized. Management also cited inflation, geopolitical events, foreign-exchange volatility and lower consumer confidence as pressures on traffic and discretionary spending.
  • Revenue fell less than GMV as take rate increased, reflecting managed payments and first-party advertising initiatives. Management expected this divergence to continue to a lesser extent into 2023.
  • Foreign-exchange movements reduced 2022 revenue by $320 million; hedging gains partly offset currency effects. International markets generated 51% of revenue.
  • eBay acquired TCGplayer, a collectible-card-game marketplace, for $228 million in October 2022. It also sold shares in Adevinta, Adyen and KakaoBank, receiving $1.1 billion in aggregate proceeds.
  • Cost of net revenue increased 1%, primarily because of managed-payments processing costs. The transaction-loss provision decreased 21%, mainly due to lower bad-debt and customer-protection costs.

Outlook, risks and contingencies

  • The filing gives no specific numerical revenue, earnings or margin guidance. Management expected macroeconomic and consumer-spending pressures to continue into 2023 and noted that results could remain volatile.
  • Key risks include intense competition for buyers, sellers and advertising; dependence on traffic and discretionary spending; foreign-exchange and international-market exposure; fraud, chargebacks and trust; cybersecurity and service outages; and reliance on third-party payment, shipping and technology providers.
  • Regulatory and compliance risks include privacy and data rules, payment regulation, seller tax reporting, product-safety and marketplace obligations, and the EU Digital Services Act, whose enforcement was expected to begin in early 2024. The company said the U.S. Inflation Reduction Act provisions discussed were expected to be immaterial.
  • eBay disclosed ongoing government inquiries concerning sellers’ listings of products potentially violating EPA and DEA rules. It also described a U.S. Attorney investigation into former employees’ conduct involving the editor and publisher of EcommerceBytes, along with a related civil action. The company had accrued approximately $64 million for probable losses across these matters; further losses could be material in a particular period.
  • Other significant uncertainties include tax examinations and $493 million of gross unrecognized tax benefits at year-end, as well as the sensitivity of earnings and balance-sheet values to investments in Adevinta, Gmarket and the Adyen warrant.

Important facts for investors to verify

  • Whether traffic, GMV and buyer activity stabilize after the 2022 decline, and whether the higher take rate can persist without further weakening marketplace volume.
  • How much of reported earnings volatility continues to come from fair-value changes in investments and the Adyen warrant, separate from core operating performance.
  • Whether cash generation supports planned buybacks and dividends alongside debt service, including the effects of refinancing at higher interest rates.
  • Developments, potential penalties and business-practice remedies in the government investigations and related civil litigation; compare any ultimate outcomes with the $64 million accrual.
  • Effects of new marketplace, privacy, payments and tax-reporting requirements on compliance costs, sellers’ participation and buyer activity.
