Fourth-quarter revenue was $2.877 billion, up from $2.707 billion a year earlier. Continuing-operations income was $763 million, compared with a $2.597 billion loss in fourth-quarter 2017. The prior-year quarter included the large provisional tax charge associated with U.S. tax reform.

Material changes and unusual items

  • Marketplace revenue increased 8% to $8.641 billion across transaction and marketing-services revenue; Classifieds marketing-services revenue grew 14% to $1.022 billion. Management attributed growth to Marketplace GMV and take rate, promoted listings and lower seller incentives, and Classifieds motors platforms, particularly in Germany.
  • Operating expenses rose 13% to $6.142 billion. Sales and marketing increased 18%, partly due to coupons, rewards and traffic acquisition costs. Operating margin consequently fell to 20.7% from 22.8%.
  • Interest and other, net was income of $496 million, including gains of $313 million on the Flipkart investment sale, $266 million on relinquishing the Giosis investment, and $104 million from a warrant’s fair-value change.
  • Income tax expense was $190 million, or a 7.0% effective rate. 2018 included a $463 million reduction of provisional U.S. tax-reform amounts recorded in 2017. The 2017 $3.288 billion tax provision included a $3.1 billion provisional tax-reform charge; comparisons of reported earnings are therefore materially affected by tax items.
  • eBay acquired Giosis’s Japan business, including Qoo10.jp, for $306 million in cash and relinquished its existing Giosis equity investment. It sold its Flipkart investment for approximately $1.0 billion in proceeds.
  • A workforce reduction approved in June resulted in $86 million of restructuring charges. eBay repurchased approximately $4.5 billion of shares during the year.

Outlook, risks and contingencies

The filing provides no quantified revenue or earnings guidance. Management described ongoing Marketplace modernization and investment in personalization, structured data, seller tools and backend infrastructure. It expected its cash, investments, operating cash flow, borrowing capacity and access to capital markets to fund operations, capital expenditures, debt repayment, repurchases and dividends for the foreseeable future. The Board initiated a quarterly dividend of $0.14 per share in January 2019 and authorized an additional $4.0 billion repurchase program. eBay expected the Motors.co.uk acquisition to close in the first half of 2019, subject to customary conditions and approvals.

Key disclosed risks include intense ecommerce competition; dependence on international and cross-border activity and exposure to foreign exchange movements; privacy, data-security and service-availability risks; evolving tax, consumer-protection and other regulation; and litigation involving intellectual property, competition, privacy and other matters. Legal accruals for matters assessed as probable were not material in 2018, but outcomes are uncertain and non-monetary remedies could require changes to business practices. Debt totaled $9.231 billion; the company reported compliance with debt covenants and investment-grade credit ratings. Its new quarterly dividend is discretionary and not assured to continue.

Important facts for investors to verify

  • Whether revenue and GMV growth can continue, particularly on an FX-neutral basis, and whether take-rate gains persist without impairing buyer or seller activity.
  • Whether rising operating costs, especially sales and marketing, can be managed and operating margins stabilized.
  • The sustainability of earnings excluding tax adjustments and investment, disposal and warrant gains; reported 2018 profit is not directly comparable with 2017.
  • Cash generation and capital allocation relative to debt maturities, share repurchases and the newly initiated dividend.
  • Developments in tax examinations, regulatory and legal proceedings, cybersecurity, international trade and foreign-currency exposure.
