Business context and reporting period
eBay Inc.’s Form 10-K covers the fiscal year ended December 31, 2012. The company operates Marketplaces, Payments (including PayPal and Bill Me Later), and GSI. The filing also reports unaudited fourth-quarter results. GSI was acquired in June 2011, so its 2012 results include a full year while 2011 includes only results after the acquisition date.

Cash and cash equivalents were $6.817 billion at year-end, versus $4.691 billion a year earlier. The balance sheet reports $2.591 billion of short-term and $3.044 billion of long-term investments. Separately, the MD&A describes cash and investments totaling $11.5 billion; that stated aggregate does not reconcile clearly to the balance-sheet figures.
Fourth-quarter 2012 revenue was $3.992 billion and net income was $751 million, compared with revenue of $3.380 billion and net income of $1.980 billion in fourth-quarter 2011. The prior-year quarter included a roughly $1.7 billion gain on the sale of eBay’s remaining Skype interest.
Material changes versus prior period
- Revenue grew 21% year over year, driven by increases across all three segments. Marketplaces revenue rose 11%, Payments revenue rose 26%, and GSI reported $1.083 billion for the year; GSI’s year-over-year comparison is not directly comparable because it was acquired in June 2011.
- Marketplaces GMV excluding vehicles increased 12% to $67.763 billion; vehicle GMV declined 8% to $7.613 billion. Fixed-price listings accounted for approximately 66% of eBay.com GMV.
- Payments net total payment volume (net TPV) increased 22% to $144.937 billion. Merchant Services net TPV rose 25% to $97.277 billion, while on-eBay net TPV rose 16% to $47.660 billion.
- Operating margin was approximately 21%, slightly above 2011. Net income and diluted EPS fell, primarily because 2011 included the Skype disposal gain; 2012 operating income increased.
- Foreign currency movements reduced 2012 revenue by approximately $206 million, net of the stated positive impact from PayPal hedging.
- Debt increased following the issuance of $3 billion in senior notes in 2012. Operating cash flow improved, while investing activities used $3.763 billion, including investment purchases, capital expenditures, and Bill Me Later receivables.
- Beginning November 1, 2012, U.S. PayPal customer balances were presented as balance-sheet assets with matching customer liabilities. At year-end, funds receivable and customer accounts and the corresponding funds payable liability were each $8.094 billion; this accounting and legal change affects balance-sheet comparability.
Outlook, commentary, risks and unusual items
The filing provides no numerical revenue or earnings guidance. Management describes plans to extend mobile and multi-channel commerce, expand PayPal acceptance online and in physical retail, and develop local commerce services. Nearly $13 billion of mobile commerce volume was transacted across eBay platforms in 2012; PayPal mobile net TPV was nearly $14 billion, up from approximately $4 billion in 2011. eBay Now was being tested in parts of San Francisco and New York City.
- Management cites intense competition, changing buyer and seller expectations, macroeconomic and European sovereign-debt uncertainty, foreign-exchange exposure, and the risk that marketplace policy or pricing changes could alienate sellers.
- Payments faces substantial regulatory, licensing, fraud, funding-cost, and partner risks. Bill Me Later receivables expose eBay to consumer credit losses; its net charge-off rate was approximately 4.81%, versus 4.46% in 2011.
- Payments transaction losses, including buyer-protection payouts, were $281 million, or 0.19% of net TPV, compared with $246 million, or 0.21%, in 2011.
- GSI’s platform migration was delayed into 2013 and beyond; delays or performance issues could lead to client dissatisfaction, penalties, or lost contracts. GSI is also seasonal, with a disproportionate share of annual revenue typically in the fourth quarter.
- Legal and regulatory matters include disputes involving counterfeit goods and intellectual property, payment practices, data privacy, and ticket resale. The French Dior-related litigation had a prior reduced damages award of €5.7 million and an injunction under review; the filing says potential effects of non-monetary remedies cannot be estimated. Accrued legal-proceeding losses were not material at year-end.
- A fourth-quarter 2012 restructuring produced approximately $31 million of charges and targeted reductions of about 600 employees and 300 contractors; approximately $1 million of additional charges was expected in early 2013.
- 2012 included a $118 million gain from the sale of Rent.com. In 2011, the Skype gain and a $257 million divestiture loss materially affected reported earnings.
- Management said existing cash, investments, expected operating cash flow, and available credit were sufficient for foreseeable needs. The $3 billion revolving facility had no borrowings at year-end, with $1 billion available for other permitted uses after reserving capacity for commercial paper back-up.
Important facts for investors to verify
- Reconcile the MD&A’s $11.5 billion cash-and-investments statement with balance-sheet cash and investment figures.
- Assess underlying earnings growth excluding the 2011 Skype gain and considering the 2012 Rent.com gain and other unusual items.
- Track PayPal payment growth, take rate, funding mix, transaction losses, customer-balance treatment, and Bill Me Later credit performance.
- Monitor GSI platform migration, client retention, margins, and the comparability of post-acquisition results.
- Review debt maturities, liquidity needs, and the effect of customer funds and the Bill Me Later receivables portfolio on reported balance-sheet totals.
- Follow key legal, regulatory, tax, and intellectual-property proceedings, including outcomes that could require operational changes or create losses not presently estimable.
