  • Fourth quarter: Net income was $6.0 million and diluted EPS $0.30, versus $3.6 million and $0.18 in Q4 2013. Q4 2014 net interest income was $30.8 million, compared with $32.4 million; noninterest expense was $24.8 million, including elevated period expenses.
  • Loans and deposits: Portfolio loans rose 13.9% to $2.434 billion; total loans including PCI loans were about $2.533 billion. Commercial and industrial lending drove growth, with C&I balances up about $228.7 million. Deposits declined 1.7% to $2.492 billion, primarily as higher-cost time deposits ran off. Brokered CDs were $71.3 million, or 3% of deposits.
  • Asset quality: Nonperforming loans, excluding PCI loans, were $22.2 million (0.91% of portfolio loans), versus $20.8 million (0.98%) in 2013. Net charge-offs fell to $1.5 million from $6.4 million. Potential problem loans were $53.8 million, or 2.20% of portfolio loans. Other real estate was $7.8 million, down from $23.3 million.
  • Balance sheet and capital: Total assets were $3.277 billion; shareholders’ equity was $316.2 million. The Bank was reported well capitalized. Company ratios included 13.40% total risk-based capital, 12.14% Tier 1 risk-based capital, and a 10.48% leverage ratio. Tangible common equity to tangible assets, a non-GAAP measure, was 8.69%.
  • Cash flow: Operating cash flow was $31.5 million; investing cash flow was negative $212.8 million, principally reflecting loan growth; financing cash flow was positive $71.5 million. Cash and cash equivalents declined $109.9 million to $100.7 million.

Material changes and unusual items

  • Earnings declined mainly because PCI loan accretion and balances continued to run off, portfolio-loan yields fell, and investment-security gains were lower. Tax-equivalent net interest income fell $18.4 million; lower funding costs only partly offset reduced asset yields and PCI contribution.
  • Loan growth was strong, particularly in C&I, enterprise-value lending, and life-insurance premium financing. Management said 2014 portfolio loan growth was 14%.
  • The Company converted $5.0 million of 9% trust-preferred securities into common stock, issuing 287,852 shares. It also prepaid $50.0 million of FHLB debt and incurred a $2.9 million pretax penalty. These actions reduced long-term debt and were intended to lower funding costs.
  • FDIC loss-share receivable fell to $15.9 million from $34.3 million. Management recorded a $2.7 million contingent clawback liability as favorable cash-flow projections indicated potential repayment to the FDIC under two agreements.
  • The Company transferred $46.6 million of available-for-sale securities to held-to-maturity in Q4. Management reported no other-than-temporary impairment of securities.

Outlook, risks, and contingencies

  • Management outlook: Expected 2015 total portfolio loan growth of 10% or more; projected noninterest expense of $19–$21 million per quarter. Management estimated average PCI loans of about $80 million and pretax income from PCI assets of $6–$8 million in 2015, absent cash-flow accelerations or pool impairment. No full-year earnings or revenue guidance was provided.
  • Management expected to remain compliant with Basel III capital requirements as they take effect, and said the Bank was well capitalized at year-end. The Company’s interest-rate model estimated net interest income sensitivity of +7.4% under a +300-basis-point shock and -1.1% under a -100-basis-point shock; outcomes depend on modeled assumptions.
  • Liquidity sources include core deposits, securities and loan repayments, FHLB and Federal Reserve borrowing capacity, correspondent-bank lines, and potential wholesale deposits. At year-end, reported additional availability was $211.3 million from the FHLB, $663.5 million from the Federal Reserve, and $45.0 million in correspondent-bank lines. Securities available for sale totaled $400.1 million, of which $315.8 million was pledged.
  • Off-balance-sheet commitments included $947.4 million to extend credit and $50.1 million in standby letters of credit. These are contractual maximums; the filing says commitments may expire undrawn and are unlikely to be funded in full simultaneously.
  • Key risks include credit deterioration or real-estate collateral declines; concentration in the company’s regional markets and real-estate-secured lending; interest-rate changes and margin pressure; deposit and wholesale-funding availability; dependence on FDIC loss-share agreements and their expiration; regulatory and compliance costs; competition; cybersecurity and operational disruption; and litigation or other contingencies.
  • Management said pending or threatened legal proceedings were not expected to have a material adverse effect. The independent auditor issued an unqualified opinion on the financial statements and internal controls; management and the auditor reported effective internal control over financial reporting.

Important facts for investors to verify

  • How much future earnings depend on PCI accretion, FDIC-related accounting adjustments, and the timing or amount of potential FDIC clawbacks.
  • Whether 2015 loan-growth expectations can be met without weakening underwriting, allowance adequacy, or asset quality; monitor potential problem loans and C&I and commercial real-estate exposures.
  • Whether recurring revenue and expense performance improve as NIM compresses, and how actual quarterly expenses compare with management’s $19–$21 million range.
  • Deposit stability and funding mix, including the use and cost of FHLB advances, repurchase agreements, brokered CDs, and other borrowings.
  • Capital and liquidity resilience under Basel III and adverse rate or credit scenarios, including the availability and practical usability of pledged-collateral borrowing facilities.
  • The filing reports annual results and unaudited quarterly data; verify the Q4 figures and non-GAAP reconciliations against the audited statements and notes before comparing periods.
