Ehang Holdings Ltd annual report, Q4 FY2023

EHang Holdings Limited — FY2023 Form 20-F

Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter filing; separate Q4 financial results are not provided in the supplied filing text. Financial statements are prepared under U.S. GAAP. Unless noted otherwise, figures below are RMB millions.

Business context

EHang develops, manufactures and sells pilotless electric vertical takeoff and landing aircraft (eVTOLs), other unmanned aircraft, operating systems and related services. Air mobility was the core business in 2023. The company is a Cayman Islands holding company whose China operations include a variable interest entity (VIE) consolidated through contractual arrangements; investors in its ADSs do not own equity in the VIE directly.

Air mobility generated 104.7, or 89.2% of revenue; aerial media generated 11.1, or 9.4%; and smart city management generated 1.3, or 1.1%. The company sold 52 EH216-series aircraft in 2023, versus 21 in 2022.

At year-end, cash and cash equivalents were 228.3; short-term deposits, short-term investments and restricted short-term deposits were 14.4, 57.5 and 33.9, respectively. These four balances totaled 334.1, although restricted funds are not freely available. Current assets were 453.0 and current liabilities 250.1. Net accounts receivable was 34.8, against a doubtful-account/expected-credit-loss allowance of 131.8. The company reported 69.8 of short-term bank loans, 12.8 of long-term bank loans including the current portion, and 40.0 of mandatorily redeemable non-controlling interests. The 57.8 short-term debt reported in 2022 was repaid in 2023. Lease liabilities were 80.9; undiscounted operating lease commitments were 122.0.

Share-based compensation was 151.5 in 2023. The company also recorded 12.0 of debt-discount amortization related to a private-placement transaction. Capital expenditures were 9.1.

Material changes versus prior period

  • Revenue rebounded from the 2022 decline, led by EH216-series deliveries; aerial-media revenue also recovered from pandemic-related disruption.
  • Gross margin declined modestly despite substantially higher gross profit. R&D spending increased to support certification work and product development.
  • Operating cash outflow improved from 173.5 to 88.4, but the company remained loss-making and dependent on external financing.
  • The expected-credit-loss accounting standard was adopted in 2023, increasing opening accumulated deficit by 2.4. The allowance for doubtful accounts/expected credit losses reached 131.8, up from 115.4 at year-end 2022.

Outlook, risks and unusual items

  • Outlook: No numerical revenue or earnings guidance is provided. Management expects revenue to increase, principally from air mobility, as it scales EH216-S sales, pursues new orders and develops operational services. It says year-end liquidity is expected to fund operations and material cash needs for at least 12 months after the report date, while acknowledging dependence on successful commercialization and access to additional funding if needed.
  • Certification and production: The CAAC issued EH216-S a type certificate in October 2023 and a standard airworthiness certificate in 2023; deliveries of certified aircraft began in December. The production certificate, which permits mass production, was obtained in April 2024, after the reporting period. The Yunfu facility has planned annual capacity of 600 EH216-series units.
  • Going concern: The auditor issued an unqualified opinion on the financial statements but included an emphasis-of-matter paragraph about uncertainty in scaling EH216-S commercial sales and raising funds, which could materially adversely affect future liquidity. Management says available cash and investments are sufficient for the next 12 months; failure to execute its plan or raise funds could require cost reductions or slower R&D.
  • Customer and collection risk: The largest customer represented 24% of 2023 revenue. The company identifies customer concentration, overdue collections and conditional or framework agreements that may not convert into purchases as key risks.
  • Regulatory and corporate-structure risk: Commercial eVTOL operations remain subject to evolving certification, operating and flight approvals. The company relies on VIE contracts for certain China operations; their enforceability and treatment under PRC law are uncertain. The VIE contributed 7.9% of consolidated revenue in 2023.
  • Controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at December 31, 2023 because of material weaknesses in U.S. GAAP/SEC reporting procedures and timely accounts-receivable monitoring. The weaknesses remained despite remediation efforts; the filing includes no auditor attestation on internal controls.
  • Legal matters: A former-employee dispute was settled for $3.375 million, paid in four installments; the remaining year-end balance was paid in Q1 2024. A securities class action filed in December 2023 following a short-seller report remained at a preliminary stage, and the company could not estimate a reasonably possible loss. A prior securities class action was dismissed with prejudice in January 2023, with no appeal.
  • Other risks: The filing highlights production capacity and supply-chain constraints, aircraft safety and product liability, cybersecurity and data protection, foreign-exchange and cash-transfer controls, and possible future PCAOB inspection restrictions under the HFCAA. The company reported a July 2023 cybersecurity incident causing temporary disruption to an internal approval system; it said no sensitive-data leakage was reported and the impact was immaterial.

Most important facts for investors to verify

  • Whether certified EH216-S deliveries and commercial operations scale beyond trial, training, demonstration and tourism deployments, and whether the production certificate translates into sustained output.
  • Conversion of conditional orders, framework agreements and stated purchase intentions into binding orders, deliveries, collections and recognized revenue.
  • Receivable aging, subsequent cash collections, customer concentration and adequacy of the 131.8 credit-loss allowance.
  • Cash availability after accounting for restricted deposits, operating burn, debt maturities, lease commitments and funding needs; whether the company achieves its 12-month liquidity plan.
  • Progress in remediating the material weaknesses in financial reporting and receivables monitoring, and any subsequent auditor assessment.
  • Developments in the securities class action, applicable regulatory approvals and the enforceability and financial implications of the VIE arrangements.
