Elutia Inc. — Q3 2023 Form 10-Q

Reporting period: Three and nine months ended September 30, 2023. Financial amounts below are in millions of dollars unless stated otherwise. The filing was signed November 14, 2023.

Business context

Elutia is a regenerative-medicine company focused on products used with implantable medical devices. Its continuing businesses are Device Protection, Women’s Health and Cardiovascular. The Orthobiologics Business is presented as discontinued operations; its sale to Berkeley Biologics closed on November 8, 2023, after quarter-end.

Q3 sales rose 4.8%; nine-month sales rose 9.3%. Device Protection and Women’s Health grew, while Cardiovascular sales declined, partly reflecting the LeMaitre Vascular distribution arrangement, under which Elutia sells at transfer prices rather than end-user prices. Despite lower operating expenses, gross margin weakened. For the nine months, sales and marketing, G&A and R&D expenses fell year over year, while net FiberCel litigation costs rose to $7.3 million from $1.9 million.

At September 30, cash was $14.5 million, total assets $54.6 million and current liabilities $44.7 million. Long-term debt had a carrying value of $25.3 million; the separate revenue interest obligation totaled $16.5 million ($11.1 million current and $5.5 million long-term). The filing reports a $7.6 million warrant liability. Stockholders’ deficit was $29.5 million. Operating cash use was partly offset by $10.5 million of financing cash flow, primarily from the September private placement.

The SWK term loan bears variable SOFR-based interest; its weighted-average rate was 13.5% for Q3 and 13.1% for the first nine months. Principal amortization was scheduled to begin in November 2024, subject to possible extension. Elutia said it was in compliance with loan covenants at September 30.

Material changes and significant transactions

  • Orthobiologics divestiture: Berkeley paid approximately $14.6 million, as adjusted, shortly after the November 8 closing. Up to $20 million more may be payable over five years, based on 10% of qualifying product revenue and subject to an aggregate cap. A $4.0 million mandatory loan prepayment was triggered; $2.0 million was paid shortly after closing and the balance was due by February 15, 2024 or earlier under the stated arrangement.
  • Private placement and dilution: In September, Elutia raised approximately $10.5 million gross through common-stock units and prefunded units, each also carrying warrants. The offering warrants are classified as liabilities and are remeasured at fair value. Class A shares issued and outstanding increased to 18.9 million at quarter-end from 11.8 million at December 31, 2022; the filing also reports 4.3 million Class B shares.
  • VBM matter: Elutia recalled one lot of viable bone matrix and withdrew other VBM products produced after a specified date following reports of MTB infections in two patients. It reversed $3.3 million of revenue in total, recorded a $2.0 million inventory write-off and had a remaining product-returns reserve of $2.7 million at quarter-end.

Outlook, risks and contingencies

  • Going concern: Management disclosed substantial doubt about the company’s ability to continue as a going concern within one year after the financial statements’ issuance. It cited ongoing losses, $12.7 million of operating cash use in the first nine months, expected further cash outflows, and uncertainty that available and prospective funding will cover operating needs. The company may seek additional equity, asset sales or a restructuring of its Ligand revenue interest obligation; success is not assured.
  • CanGarooRM: FDA issued a Not Substantially Equivalent letter in March 2023 concerning the 510(k) submission, including questions about the drug-release assay. Management expected to respond to outstanding FDA questions in 2023 and targeted clearance in the first half of 2024; these are expectations, not assured outcomes.
  • Litigation: For FiberCel, 27 cases had been settled and paid for approximately $7.5 million; a $15.7 million liability was recorded for 82 unsettled cases. The company said additional losses could exceed the accrual but could not estimate a range. It recorded $7.5 million of related reimbursement receivables and was pursuing at least $3.8 million more, not recognized as a receivable. For the VBM matter, one lawsuit and 12 claims had been reported; possible losses were considered reasonably possible but not estimable, so no liability was recorded. Insurance may not cover all losses.
  • Nasdaq listing: The company received a delisting determination after failing to meet the market-value listing standard by October 31, 2023. Its timely appeal stayed suspension pending a hearing scheduled for February 15, 2024. Continued listing and recovery of compliance were uncertain.
  • Other risks: Elutia depends on commercial partners and a limited number of suppliers, faces product-quality and recall risks, and may need additional financing that could dilute shareholders. Management reported disclosure controls were effective as of September 30, 2023.

No formal revenue or profitability guidance is provided in the filing. Management expects losses to continue and notes historical sales seasonality, with stronger fourth-quarter sales typically associated with hospital budget cycles and patient deductibles.

Important facts for investors to verify

  • Cash runway and financing needs, including the basis for the substantial-doubt going-concern disclosure.
  • Final proceeds and debt repayment from the Orthobiologics sale, and whether Berkeley earns revenue sufficient to generate earn-out payments.
  • Developments in the FiberCel and VBM claims, insurance and indemnity recoveries, and potential exposure above recorded amounts.
  • Progress and timing of FDA review for CanGarooRM, and the commercial impact if clearance is delayed or denied.
  • Nasdaq hearing outcome and ongoing compliance status, alongside dilution and potential warrant exercises from the private placement.
