Revenue increased 136%; units sold rose 137%, from approximately 123,000 to 292,000. Management attributed growth to the third-generation microinverter, deeper customer penetration, new customers, and broader product acceptance. Gross margin improved with the higher-margin third-generation product and manufacturing efficiencies, partly offset by $1.6 million of inventory write-downs associated with product transitions. Operating expenses rose across R&D, sales and marketing, and general and administrative functions, including public-company readiness costs.

At March 31, cash and cash equivalents were $31.9 million, down from $51.5 million at December 31, 2011. Current assets were $73.3 million and current liabilities $58.2 million; reported working capital was $15.2 million. Total assets were $103.4 million and total liabilities $98.8 million. Term loans and equipment financing totaled $14.1 million, and convertible notes were $19.8 million. The filing reports compliance with debt covenants. Accumulated deficit was $99.0 million. Inventory increased to $25.7 million from $11.2 million, mostly finished goods.

Material changes and subsequent events

  • On April 4, 2012, after quarter-end, the company completed its IPO at $6.00 per share. It issued 10.3 million shares for $61.9 million gross proceeds and approximately $54.0 million net proceeds.
  • At the IPO, preferred stock with a $93.6 million carrying value converted into 25.2 million common shares; $19.8 million of convertible notes and accrued paid-in-kind interest converted into 3.5 million common shares. Preferred-stock warrant liabilities of $0.8 million were to be reclassified to additional paid-in capital.
  • The IPO terminated the lenders’ commitment to make up to $60 million available under the convertible facility. The company expected to record a $2.8 million second-quarter interest charge for writing off related unamortized debt discounts and issuance costs.
  • Cash provided by the IPO was not included in March 31 cash balances. Management believed cash, available revolving credit, and IPO proceeds would fund planned operations, capital expenditures, and debt obligations for at least the next 12 months.

Outlook, risks, and unusual items

Management expected net losses to continue for the remainder of 2012 and anticipated continued investment in R&D, expansion, hiring, and public-company costs. It expected most 2012 revenue to come from North America, with the balance from Europe. No specific revenue or earnings guidance was provided. Management said the 2011 U.S. renewable-energy grant program deadline had supported prior sales and expected deferred revenue from those sales to benefit Q2 2012 revenue.

  • Key risks include persistent losses and uncertain path to profitability; dependence on solar demand and government incentives; price competition and gross-margin volatility; product reliability and long-duration warranty exposure; reliance on a small number of contract manufacturers and limited-source suppliers; distributor/customer concentration and limited end-market visibility; and execution risks from rapid growth and international expansion.
  • Warranty expense was $2.1 million in Q1 2012 versus $0.7 million a year earlier. Total warranty liability was $10.6 million at quarter-end, including $7.9 million classified as long-term.
  • Three customers each accounted for approximately 14%, 13%, and 12% of Q1 revenue. A related-party customer group had $11.3 million of current deferred revenue at quarter-end, with delivery and recognition expected in Q2.
  • The company reported no material litigation or other known contingencies. Disclosure controls were deemed effective at a reasonable-assurance level; management also described a prior significant deficiency in accounting-policy documentation and segregation of duties and its remediation efforts.
  • Italy’s updated interconnection standards were due to take effect July 1, 2012; management warned that failure to deliver a compliant solution on time could harm its Italian market opportunity.

Investor facts to verify

  • Confirm the post-IPO share count, cash proceeds, conversion of preferred stock and notes, and resulting dilution; the filing reported 40,747,019 common shares outstanding as of May 11, 2012.
  • Assess whether the $54.0 million IPO proceeds and available credit provide adequate runway against continuing losses, operating cash burn, and debt obligations.
  • Monitor inventory levels and the impact of the $1.6 million write-down, product transitions, and expected demand on future margins and cash flow.
  • Evaluate warranty reserve adequacy and product reliability against 15- and 25-year warranty terms, given limited operating history.
  • Track customer concentration, related-party deferred revenue delivery and recognition, and the effect of solar incentives and regulatory changes on demand.
