E-Power Inc. annual report, Q4 FY2022

Sunrise New Energy Co., Ltd. (Nasdaq: EPOW) — FY2022 Form 20-F

Reporting period: Fiscal year ended December 31, 2022. This is an annual report, not a standalone 2022 fourth-quarter filing. The filing identifies the issuer as Sunrise New Energy Co., Ltd.; it describes a Cayman Islands holding company with operations in China. Financial figures below are in U.S. dollars unless otherwise noted.

Business context

The company’s business mix changed substantially in 2022. Graphite anode materials, sold through Sunrise Guizhou, accounted for nearly all reported revenue. The company owns 39.35% of that joint venture but consolidates it because governance arrangements give it control. Its other principal business, a knowledge-sharing and enterprise-services platform operated through a PRC variable interest entity (VIE), contracted sharply. Shareholders own the Cayman holding company, not equity in the VIE; the company relies on contractual arrangements to consolidate the VIE.

Revenue increased 414.6%, principally due to $37.58 million of graphite-anode sales, versus none in 2021. Knowledge-sharing and enterprise-service revenue fell to $544,991 from $7.41 million; management attributed the decline mainly to COVID-related limits on in-person events and business activity. The graphite-anode segment reported $1.99 million gross profit, while the knowledge-sharing segment recorded a $3.34 million gross loss.

At year-end, total assets were $107.02 million and total liabilities $33.66 million, compared with $58.70 million and $1.72 million, respectively, in 2021. Current assets were $44.64 million and current liabilities $26.02 million; reported working capital was $18.61 million. Cash and cash equivalents were $1.66 million, restricted cash $2.64 million, and short-term investments $3.34 million. Cash, cash equivalents and restricted cash together declined $10.32 million during the year. Inventories were $18.33 million and prepaid expenses and other current assets were $12.24 million.

Year-end long-term payables from sale-and-leaseback financing totaled $7.79 million ($3.71 million current and $4.08 million non-current). Other material obligations included $3.88 million of notes payable and $3.94 million of consideration payable for the Sunrise Tech asset acquisition. Financing cash flow included $37.02 million of non-controlling shareholder contributions and $8.83 million net proceeds from long-term financing. Investing outflows primarily funded $43.71 million of property and equipment.

Material changes, outlook and risks

  • Strategic shift and build-out: Sunrise Guizhou reported $37.58 million in graphite-anode revenue in its first year. The company said approximately 6,000 tons had been delivered by the filing date. The first plant phase, planned for 20,000 tons annual capacity, was completed subject to inspections and approvals; a 10,000-ton second phase was underway, and a 20,000-ton third phase was approved. These were management’s stated plans and anticipated timings, not guaranteed outcomes.
  • Liquidity and going concern: The filing states that recurring losses, operating cash outflow, construction needs and COVID-related business disruption raised substantial doubt about the company’s ability to continue as a going concern. Management nevertheless believed its plans would provide adequate liquidity for at least 12 months from issuance. Plans included growing revenue, controlling costs, borrowing, shareholder support and possible equity financing. Disclosed subsequent facilities included a revolving facility of up to RMB30 million and a RMB20 million financing arrangement; these involved guarantees and collateral.
  • Exceptional charges and other losses: FY2022 included $2.71 million of inventory impairment, $2.65 million of intangible-asset impairment, $3.57 million of investment losses, and $2.73 million of share-based compensation. The company also recorded a $5.12 million foreign-currency translation loss in other comprehensive income. Investment losses included a $2.63 million loss on a fund and impairment of long-term investments.
  • Concentration and execution: Four graphite-anode customers represented 28.43%, 19.54%, 19.30% and 18.87% of Sunrise Guizhou sales. Production relied on third-party contract manufacturers while the company’s own plant awaited approvals. Raw-material prices and supply, customer retention, product qualification, plant ramp-up, and additional financing are material risks.
  • Governance, regulatory and reporting risks: The VIE agreements have not been tested in court, and PRC legal and regulatory changes could affect enforceability, operations or access to cash. The company reported that its disclosure controls and internal control over financial reporting were ineffective at year-end, citing insufficient formal closing/reporting controls and accounting expertise. Management described remediation efforts. The auditor did not attest to internal-control effectiveness; the financial-statement audit opinion was unqualified.
  • Other investor considerations: The company paid no dividends and did not expect to do so in the foreseeable future. It reported no material litigation at year-end. It said its existing listing was not then affected by the HFCA Act, while noting future inspection and delisting uncertainty. The CSRC’s overseas-listing filing regime took effect after year-end; the company described itself as an existing issuer, with filing required for subsequent offerings.

Key facts investors should verify

  1. Whether Sunrise Guizhou obtained all required inspections and approvals, brought its own production facility online, and achieved the stated production capacity and delivery volume.
  2. Whether the reported anode sales and segment gross profit translate into sustainable margins, cash collections and operating cash flow; also verify the economics and terms of customer contracts.
  3. How customer concentration, receivables, inventory levels and the $2.71 million inventory write-down evolved after year-end.
  4. Available unrestricted cash and investment liquidity, facility drawdowns, collateral and guarantees, debt-service obligations, and the status of the going-concern assessment.
  5. Progress in remediating material control weaknesses and whether subsequent filings continue to report ineffective controls or financial-reporting issues.
  6. Compliance with PRC requirements affecting the VIE structure, data and overseas offerings, and the practical ability to transfer funds from China to the holding company.
