Changes and notable items
- Q2 net loss increased to $6.5 million from $6.1 million. For the first half, net loss increased to $14.3 million from $12.0 million.
- First-half R&D expense rose $0.6 million, primarily from higher employee compensation, partly offset by lower preclinical and overhead spending. Q2 R&D declined $0.4 million, mainly due to lower clinical development activity.
- First-half G&A increased $0.7 million, including higher compensation and stock-based compensation. Q2 included $0.4 million of non-cash expense for immediately vested retention options; executives and directors also agreed to salary or retainer reductions expected to save about $0.4 million in 2020.
- In April, the company repriced 1.48 million employee options to $2.45 per share, creating approximately $0.4 million of incremental compensation cost.
- During the first half, the company raised $0.8 million net through its 2019 at-the-market (ATM) offering and issued shares under its employee stock purchase plan. Common shares outstanding were 17.7 million at June 30.
Outlook, developments and risks
- Management said cash, cash equivalents and short-term investments at June 30, together with capital raised afterward, were expected to fund planned operations for at least 12 months from the filing date. The company expects continued operating losses and negative operating cash flows and will require additional financing to complete development and commercialization.
- After quarter-end, Equillium established a new ATM facility with capacity of up to $150 million. Through the filing date, it sold 1,539,525 shares under the 2019 and 2020 ATM facilities for approximately $17.9 million gross and $17.3 million net. This provides funding but dilutes existing shareholders.
- COVID-19 prompted a March pause in enrollment in the asthma and lupus nephritis trials; enrollment resumed in July. The company warned that the pandemic could still disrupt trial enrollment, timelines, supply, operations and access to financing.
- In August 2020, before filing, the company reported preliminary aGVHD results: five of seven patients in the first two dose cohorts achieved a complete response at Day 29, and treatment was generally well tolerated. These are early results and may change with further review.
- In July, the company said it planned a global controlled COVID-19 trial after reviewing Biocon’s reported results and India’s restricted emergency-use approval. Equillium had not yet filed the related U.S. IND; the filing cautions that Biocon’s preliminary data may be incomplete and may not predict future results.
- Other material risks include reliance on Biocon for drug supply and licensed rights, clinical and regulatory uncertainty, potential trial delays or failure, the need for further capital, and loan covenants. The company reported compliance with loan covenants at June 30. No legal proceedings were reported; disclosure controls were deemed effective.
Investor verification points
- Track cash burn, ATM share sales and dilution, and whether the stated 12-month runway remains valid as spending and trial plans change.
- Verify final, audited clinical data and subsequent trial enrollment and timelines, especially for aGVHD, asthma, lupus nephritis and any COVID-19 program.
- Assess whether Biocon’s manufacturing capacity, supply arrangements and licensed rights remain adequate for planned development.
- Monitor the conditional availability and December 31, 2020 draw deadlines for the additional $10 million of milestone-based term loans.
- Reconcile future reported operating expenses and cash flows against the filing’s expected increases in clinical development spending and financing needs.
