Business and changes from the prior year

  • Battery and battery-pack revenue rose 18% to $8.25 million; e-bicycle revenue fell 55% to $4.28 million. A new electronic-control-system and intelligent-robot segment contributed $2.34 million. Smart charging piles remained a small business.
  • Revenue declined 8% overall. Gross margin improved to 7.2%, but the company remained loss-making and cash-flow negative from operations.
  • FY2023 included a $1.79 million goodwill impairment and a $1.59 million loss on disposal of subsidiaries, partly offset by a $0.98 million Changzhou Sixun acquisition earnout gain. The company disposed of Tianjin Jiahao and transferred an 80% interest in Tianjin Dilang.
  • Equity financing generated $31.85 million of net cash receipts. Numerous share and warrant issuances and cashless warrant exercises increased shares outstanding substantially; 102.17 million ordinary shares were outstanding at September 30, 2023 and January 25, 2024.

Outlook, risks and unusual items

  • Management describes plans to focus on e-bicycles and related products and services, target more than 1% of mainland China’s e-bicycle market, and pursue global sales exceeding 500,000 units by 2028. These are aspirations, not quantified near-term financial guidance; the filing gives no clear revenue or earnings forecast.
  • Customer concentration is material: three battery customers represented approximately 93% of battery sales in FY2023; two e-bicycle customers represented 55% of e-bicycle sales. Four suppliers accounted for 59% of supplier advances at year-end.
  • Advances to suppliers increased to $18.76 million, including $6.98 million for customized equipment. Long-term investments rose to $12.19 million. Investors should assess recoverability, counterparties, and expected returns.
  • The VIE contracts have not been tested in court. Changes in PRC regulation, enforcement of the VIE agreements, currency controls, restrictions on cash transfers, and overseas-listing requirements could impair operations, access to cash, or the value of the shares.
  • Management reported ineffective disclosure controls and internal control over financial reporting, citing insufficient U.S. GAAP/SEC reporting expertise and inadequate monitoring mechanisms. Remediation was underway; the auditor did not attest to internal controls.
  • Nasdaq notified EZGO in October 2023 that it did not meet the $1 minimum bid-price requirement, with an April 15, 2024 compliance deadline. The filing reports a January 25, 2024 closing price of $0.0971.
  • The company disclosed two supplier contract disputes with court judgments requiring repayment and accrued amounts. A separate guarantee dispute was dropped. The auditor issued an unqualified opinion on the FY2022–FY2023 financial statements.

Important facts for investors to verify

  • Reconcile the filing’s inconsistent FY2023 net-loss disclosures: audited statements report $7.258 million, while portions of MD&A and risk disclosures state $7.535 million.
  • Confirm the reported Nasdaq bid-price compliance status and any subsequent listing action; the stated cure deadline has passed.
  • Review cash-flow needs, the large supplier advances, related-party receivables and loans, and the value and performance of long-term investments.
  • Check progress and measurable economics for the new product lines and management’s market-share and global-sales ambitions.
  • Assess whether internal-control weaknesses have been remediated and whether the VIE, PRC regulatory, cash-transfer, customer-concentration, and dilution risks have changed.
