4D Molecular Therapeutics, Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual filing, not a standalone fourth-quarter report. Financial statements are audited; dollar amounts below are in millions unless stated otherwise.
Business context
4DMT is a clinical-stage genetic medicines company using its Therapeutic Vector Evolution platform to develop customized AAV vectors. At year-end, five product candidates were in clinical trials—4D-150, 4D-710, 4D-310, 4D-125 and 4D-110—and two were in preclinical development—4D-175 and 4D-725. The company had no approved products and no product-sales revenue.
Financial performance and liquidity
| Metric | FY2023 | FY2022 | Change / context |
|---|---|---|---|
| Collaboration and license revenue | $20.7 | $3.1 | Up $17.6; principally the $20.0 Astellas upfront payment, partly offset by lower uniQure revenue. |
| Research and development expense | $97.1 | $80.3 | Up 21%, reflecting clinical and preclinical activity, personnel and facilities costs. |
| General and administrative expense | $36.5 | $32.9 | Up 11%. |
| Operating loss | $(112.9) | $(110.0) | Widened $2.8 despite higher collaboration revenue. |
| Net loss | $(100.8) | $(107.5) | Narrowed $6.7, mainly reflecting higher interest income. |
| Net loss per share, basic and diluted | $(2.58) | $(3.32) | Improved; weighted-average shares increased to 39.1 million from 32.4 million. |
| Cash used in operating activities | $(75.8) | $(86.7) | Operating cash outflow declined. |
| Cash, cash equivalents and marketable securities | $299.2 | $218.5 | At December 31; includes $249.1 cash and equivalents and $50.1 marketable securities. |
No product gross margin is reported because the company had no product sales. Other income was $12.0, primarily interest income of $12.2, versus $2.5 in 2022. The filing reports no debt borrowings; balance-sheet obligations include operating lease liabilities of $14.7, including current and long-term portions. Current assets were $296.6 and current liabilities $19.0 (approximately 15.6x current-asset coverage); working capital was approximately $277.6.
FY2023 financing cash inflow was $156.8, including $129.2 net proceeds from the May 2023 public offering and $19.1 from the ATM program. Investing cash inflow was $115.7, largely reflecting maturities of marketable securities. The filing stated that year-end liquidity was expected to fund planned operations for at least one year from issuance of the financial statements. Separately, a February 2024 offering raised $281.4 net, before any exercise of the underwriters’ additional-share option; it included common shares and pre-funded warrants and increased the company’s post-year-end liquidity while diluting shareholders.
Material changes and business developments
- Revenue became highly concentrated: Astellas contributed $20.0, approximately 97% of FY2023 revenue. Astellas licensed the R100 vector for an initial rare ophthalmic genetic target, with options for up to two more targets. Potential future option fees and milestones total up to $942.5, including a potential $15.0 near-term development milestone; these amounts are contingent, not assured. The company is also entitled to royalties.
- The company completed enrollment in PRISM’s wet AMD cohorts. In February 2024, it reported interim 24-week Phase 2 data: annualized anti-VEGF injection rates were reduced by 89% and 85% in high- and low-dose arms, respectively. These are interim company-reported results, not confirmatory pivotal evidence.
- 4D-710 interim data reported in November 2023 showed aerosolized treatment generally well tolerated through up to 17 months and CFTR expression in collected lung samples. Improvements in respiratory quality-of-life and lung-function measures were reported through 12 months in Cohort 1 patients.
- 4D-310 enrollment was paused after three cases of transient atypical hemolytic uremic syndrome, including one Grade 4 dose-limiting toxicity. FDA placed the program on clinical hold; the IND remained open for long-term follow-up. In February 2024, the company reported follow-up findings and protocol changes, including a proposed immunosuppressive regimen and an additional nonhuman-primate safety study.
- In December 2023, 4DMT and Arbor agreed to co-develop and co-commercialize up to six CNS genetic medicine products on a 50/50 cost-and-profit-sharing basis; the first is aimed at an ALS-related target. No shared product had been designated and no related R&D expense had been incurred by year-end.
- R&D spending rose 21%; total operating expenses rose 18%. Common shares outstanding increased from 32.6 million to 43.1 million during 2023, including the May offering and ATM sales.
Outlook, risks and unusual items
Management expects significant operating losses and negative operating cash flows for the foreseeable future, with R&D and administrative expenses expected to increase. The company provided no quantitative revenue or earnings guidance and expects no product revenue in the foreseeable future. It will need additional funding beyond the year-end resources to advance programs and expand manufacturing; equity financing could cause further dilution, and funding may not be available on acceptable terms.
- Clinical and regulatory risk: All candidates remain investigational. Clinical results are preliminary and may change; efficacy, durability, safety and regulatory approval are unproven. 4D-310’s clinical hold and prior aHUS cases are material program risks.
- Concentration and collaboration risk: FY2023 revenue relied overwhelmingly on Astellas, while potential milestones and royalties depend on partners’ future development and commercial success. Astellas milestone estimates are not contracted revenue already earned.
- Cash burn and execution: Continued clinical development, manufacturing scale-up and commercialization preparation require substantial capital. Manufacturing quality, supply availability, trial enrollment and timelines could affect spending and results.
- Other exposures: Competition, evolving gene-therapy regulation, reimbursement uncertainty, intellectual-property and licensing risks, and dependence on third parties could adversely affect development or eventual commercialization. The filing notes a subpoena concerning a key nonhuman-primate supplier’s Cambodian imports, creating potential supply and cost risks.
- Contingencies and controls: No material legal proceedings were outstanding at December 31, 2023. Management reported effective disclosure controls and internal control over financial reporting; the auditor did not provide an internal-control attestation because of the company’s emerging-growth-company exemption.
Most important facts for investors to verify
- Review the full PRISM and AEROW datasets, patient numbers, follow-up duration, comparator results and final statistical analyses; distinguish interim announcements from filed annual-period results.
- Track FDA requirements and the status of the 4D-310 clinical hold, safety mitigation plan, and any decision to resume enrollment.
- Confirm cash runway and quarterly operating cash burn after the February 2024 financing, including share and warrant dilution and any underwriter-option exercise.
- Assess the timing and probability of Astellas options, milestones and royalties; FY2023 revenue concentration makes partner activity particularly relevant.
- Monitor clinical-trial progress, manufacturing scale-up, supply availability and incremental funding needs across the pipeline.
