  • Net interest income rose 6.9% year over year, primarily on higher earning-asset balances, including organic loan growth and the 2014 Columbus acquisitions. Net interest margin fell 21 basis points as loan yields declined and deposit costs increased.
  • Noninterest income rose 24.3%, reflecting increased accelerated loan-discount accretion, mortgage loan-sale gains, and swap fee income. Noninterest expense was $48.1 million, up slightly from $47.8 million, including higher compensation costs partly offset by lower loss-sharing expense.
  • Provision for loan and lease losses was $2.1 million, versus a negative provision of $1.0 million in Q1 2014. The allowance was $53.1 million, or 1.11% of period-end loans. Net charge-offs were $1.8 million, or 0.16% of average loans on an annualized basis.
  • Cash flow was $15.1 million provided by operating activities and $6.7 million provided by investing activities, offset by $21.0 million used in financing activities. Cash and due from banks increased $0.9 million to $111.0 million.

Material changes and business developments

  • First-quarter earnings increased 16.7% year over year, while diluted EPS rose from $0.26 to $0.29. Average loans increased 20.2% and average deposits increased 17.9% year over year, reflecting organic growth and the Columbus acquisitions completed in 2014.
  • At quarter-end, nonperforming assets were $85.5 million, down from $87.1 million at year-end, mainly because OREO declined. Nonperforming loans were $64.6 million, slightly above $64.4 million. TDRs rose to $35.7 million from $28.2 million, primarily due to a commercial real estate relationship already classified as nonaccrual.
  • Most FDIC loss-sharing protection for non-single-family assets expired October 1, 2014. Remaining covered loans totaled $131.2 million, with protection on the remaining covered assets scheduled to expire in 2019. The company reported $2.1 million in accelerated discount on covered/formerly covered loans in Q1.
  • Investment securities totaled approximately $1.73 billion at carrying value. The portfolio’s duration declined to 3.1 years from 3.4 years at year-end; the company reported an after-tax unrealized investment gain of $2.5 million in accumulated other comprehensive income at March 31.

Outlook, liquidity, capital, and risks

  • Management expected a 2015 effective tax rate of approximately 32%–34%. It described the credit outlook as stable and reported no material change to its critical accounting policies during the quarter.
  • Management reported $136.4 million of liquidity on hand, $526.6 million of remaining FHLB borrowing capacity, and $2.0 billion of unused and available overnight wholesale funding. It stated that liquidity was sufficient for expected needs.
  • At March 31, consolidated regulatory capital ratios were 12.29% for common equity tier 1, 12.29% for tier 1 risk-based capital, 13.27% for total capital, and 9.67% for leverage. The company said it met capital requirements and remained “well-capitalized.”
  • The board authorized a $0.16-per-share dividend payable July 1, 2015. Management stated a target of returning 60%–80% of earnings through dividends and repurchases, subject to maintaining capital above internal and regulatory requirements. No shares were repurchased under the public plan in Q1.
  • Interest-rate sensitivity modeling showed estimated Year 1 net interest income changes of -0.34% under a 100-basis-point rise and +1.00% under a 200-basis-point rise; estimated economic value of equity declined 1.49% under a 100-basis-point rise. These are model-based estimates dependent on assumptions.
  • Risks highlighted include low or changing interest rates and pressure on margins, credit quality and collateral values, liquidity access and funding costs, regulatory and capital requirements, acquisition integration and expected savings, FDIC loss-sharing expirations, operational and cybersecurity risks, and litigation.
  • Off-balance-sheet commitments to extend credit totaled $1.8 billion; letters of credit totaled $19.5 million. The filing describes ordinary-course litigation and unresolved claims, but states that losses were not considered probable or reasonably estimable at quarter-end. No material changes to previously disclosed legal proceedings were reported.

Important facts for investors to verify

  • Whether loan growth and acquisition benefits can sustain earnings as net interest margin declines and covered-loan accretion runs off.
  • Whether the increase in TDRs and commercial real estate nonaccrual loans signals further deterioration; review collateral, charge-offs, and reserve adequacy.
  • The remaining FDIC-covered exposure, indemnification-asset assumptions, and the effect of expired or expiring loss-sharing protection.
  • Interest-rate and securities valuation exposure, including the sensitivity of modeled earnings and economic value to rate changes.
  • Liquidity and capital headroom, including wholesale funding availability, dividend capacity, and the planned shareholder return target.
  • The timing and conversion of construction loan commitments: $121.1 million of new commitments in Q1, of which $98.5 million had not yet funded at March 31.
