Gamesquare Holdings, Inc. annual report, FY2023

GameSquare Holdings, Inc. — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter filing. The company operates a gaming-focused digital media, marketing, entertainment, and technology platform. On April 11, 2023, it completed the Engine Gaming and Media arrangement, accounted for as a reverse acquisition; reported 2023 results therefore include Engine only from that date, limiting direct year-over-year comparability.

Financial performance

MetricFY2023FY2022
Revenue$52.0 million$28.1 million
Gross profit / margin$13.4 million / 25.9%$9.7 million / 34.4%
Operating loss from continuing operations$30.7 million$18.2 million
Net loss attributable to GameSquare$31.3 million$18.1 million
Adjusted EBITDA loss$15.0 million$13.2 million
Cash used in operating activities$16.1 million$11.9 million
  • Revenue increased about 85%, primarily because Engine contributed $29.8 million of SaaS and advertising revenue from acquisition through year-end. Teams revenue was $10.7 million, up from $9.6 million; agency revenue fell to $11.5 million from $18.5 million, which management attributed to lower brand and advertising spending.
  • Gross margin contracted to 25.9% from 34.4%. Management said increased Engine cost of sales drove the increase in costs, partly offset by lower agency costs.
  • Reported results included a $7.0 million Frankly goodwill impairment, $2.2 million debt-extinguishment loss, $3.0 million of transaction costs, and $0.5 million of restructuring charges. Fair-value changes and discontinued-operation items also affected results.

Liquidity, debt, and balance sheet

  • At December 31, 2023, cash was $2.9 million ($3.0 million including restricted cash); working capital was negative $13.9 million, compared with a $0.4 million deficit a year earlier. Accumulated deficit was $73.4 million.
  • Current liabilities were $36.2 million. Debt included a $4.5 million accounts-receivable line of credit and convertible debt with $7.05 million contractual principal and $8.18 million carrying value. The King Street note bears 12.75% interest and matures December 29, 2025; the Three Curve debenture has $1.25 million principal and matures in 2025.
  • Cash provided by investing activities was $14.1 million, including $11.3 million of cash acquired with Engine and $2.8 million proceeds from the Frankly radio-asset sale. Financing activities provided $4.0 million, primarily from the line of credit.
  • In March 2024, the company raised $10.0 million gross in a PIPE financing. This was subsequent to year-end and is not included in December 31 cash.
  • The auditor highlighted a material uncertainty that raises substantial doubt about the company’s ability to continue as a going concern, citing recurring losses and the working-capital deficiency. Management says continued operations depend on additional financing and achieving profitable operations; neither is assured.

Changes, outlook, and notable events

  • Management’s previously announced pro forma 2023 revenue guidance was $75 million. Including Engine’s $8.8 million pre-acquisition 2023 revenue, pro forma revenue was approximately $61 million, about $14 million below guidance, primarily due to weaker agency revenue. The filing provides no clear 2024 revenue or profit guidance.
  • Management says it is pursuing organic growth and acquisitions, expanding agency sales, and combining SaaS capabilities into a unified offering. These are plans, not assured outcomes.
  • On March 7, 2024, GameSquare completed its merger with FaZe Holdings. FaZe shareholders received 0.13091 GameSquare shares per share, subject to applicable terms. The merger and accompanying PIPE occurred after the reporting date.
  • A March 2024 agreement provides for the sale of Complexity Gaming for $10.4 million, subject to adjustment. The stated consideration includes $0.8 million cash and a $9.6 million secured subordinated note; required TSXV approval remained outstanding, so completion was not assured as described in the filing.
  • The company sold Frankly’s radio assets in December 2023 for $3.3 million, comprising $2.8 million cash and $0.5 million contingent consideration at closing-date fair value. The sale contributed to the Frankly goodwill impairment.
  • One customer accounted for approximately 43% of FY2023 revenue; no customer represented 10% or more in FY2022. Customer concentration creates exposure if that relationship or associated spending declines.
  • Management concluded disclosure controls and internal control over financial reporting were ineffective at year-end due to material weaknesses in risk assessment, control design, documentation, and monitoring. Remediation is intended by December 31, 2025; the auditor did not provide an ICFR attestation.
  • Other disclosed risks include intense competition, dependence on financing and capital markets, uncertain digital-media regulation, cybersecurity and privacy threats, foreign-currency exposure, and pending litigation. Management stated ordinary-course claims are not expected to have a material adverse effect, but litigation outcomes remain uncertain.

Investor verification priorities

  1. Confirm post-merger liquidity, cash burn, borrowing availability, and whether additional financing is needed despite the $10.0 million PIPE.
  2. Track remediation of the reported control weaknesses and any subsequent changes to financial reporting or auditor disclosures.
  3. Assess the sustainability of revenue and margins, especially agency demand, SaaS and advertising growth, and the 43% customer concentration.
  4. Verify completion and final proceeds of the Complexity transaction, and the accounting and cash-flow effects of the FaZe merger and PIPE dilution.
  5. Monitor conversion, interest, maturity, and registration obligations for the convertible notes, plus litigation and other contingencies.
