Gevo, Inc. — Q1 2024 Form 10-Q
Business context and reporting period
Gevo develops renewable fuels and chemicals, with sustainable aviation fuel (SAF) as its primary growth focus. Its current revenue is principally from renewable natural gas (RNG) and related environmental attributes produced in Northwest Iowa. The unaudited quarter ended March 31, 2024; comparisons are with Q1 2023 unless noted.
Financial results and liquidity

| Total debt at quarter-end | $68.3 million | $68.1 million at Dec. 31, 2023 |
Net working capital was $260.2 million, with $22.1 million in current liabilities. Cash, cash equivalents and restricted cash together totaled $340.6 million. The restricted balance primarily supported a letter of credit for the RNG project bonds and was not freely available for general use. Gevo reported $17.5 million of cash used in investing activities, including capital spending, and $1.5 million used in financing activities.
RNG and environmental-attribute sales contributed $3.99 million of revenue; environmental attributes accounted for $3.77 million. Operating costs exceeded revenue substantially. Interest and investment income of $4.6 million helped offset the operating loss. No income tax provision was recorded because the company has incurred operating losses and its deferred tax assets are fully reserved.
Material changes versus the prior comparable period
- Revenue declined 2%, while net loss increased 7% and operating loss increased $2.3 million.
- Operating expenses rose 9%, chiefly reflecting higher project development, general and administrative, and research and development costs. Project development costs increased 80% to $5.3 million.
- Cost of production fell 42% to $2.6 million. Management attributed the decrease primarily to the RNG project’s progression beyond its ramp-up phase.
- Operating cash use increased to $16.1 million from $8.8 million. Investing cash flow shifted from $113.5 million provided in Q1 2023 to $17.5 million used in Q1 2024; the prior-period inflow included $135.6 million of marketable-security maturities.
- Gevo repurchased 2.1 million shares for $1.4 million during the quarter. It reported 239.6 million shares outstanding at March 31 and 236.2 million as of May 1, 2024.
Outlook, management commentary, and risks
- NZ1 development: The planned South Dakota facility is designed for approximately 65 million gallons per year of hydrocarbons, including 60 million gallons of SAF. Gevo says engineering design is substantially complete and it is advancing detailed engineering and modularization while refining project costs with EPC partners. It now estimates spending of $90 million to $125 million from January 2024 until NZ1 financial close, including approximately $17 million spent in Q1. Construction financing remains dependent on third-party equity and debt, including a DOE loan-guarantee process targeted for completion in 2024. The expected startup is 24–30 months after financing closes; timing is uncertain.
- Debt remarketing after quarter-end: On April 1, 2024, the $68.2 million 2021 Bonds were remarketed, retaining an April 2042 maturity and moving to a 3.875% interest rate for the new initial term period, up from 1.5%. They are supported by a new letter of credit backed by approximately $69.6 million of restricted cash. The rate change and collateral arrangements may affect financing costs and liquidity.
- RNG operations: Q1 RNG production was 89 thousand MMBtu, up 39% year over year; total volumes available for environmental-attribute generation were down 23%. Gevo reported RNG design capacity was expanded to 400,000 MMBtu annually and said the project exceeded its 2023 production target.
- Funding and execution: Management believes available resources and expected operations will cover obligations for the next 12 months from the report date, but the company expects continuing losses and says it may need additional capital. NZ1 financing, construction costs, project schedule, technology commercialization, customer demand, commodity and environmental-credit prices, incentives, and access to suitable feedstocks remain material uncertainties.
- Listing and other matters: Nasdaq notified Gevo that its share price was below the $1 minimum bid requirement; the initial compliance deadline was August 27, 2024, and failure to regain compliance could lead to delisting. Gevo reported no litigation it believes could have a material adverse effect. A South Dakota sales and use tax audit remained pending; management did not expect a material adverse effect. Disclosure controls were assessed as effective.
Important facts for investors to verify
- Progress, total committed financing, and final cost and schedule for NZ1, including the DOE loan-guarantee application and third-party equity.
- Post-quarter bond terms, interest expense, collateral restrictions, and any change to the amount of cash available for operations and development.
- Actual cash burn and capital spending against management’s NZ1 pre-financial-close estimate, and the company’s access to additional capital.
- RNG production, environmental-credit volumes and realized prices, as well as continued operating performance after ramp-up.
- Nasdaq bid-price compliance and the effects of repurchases and potential future equity issuance on cash and share count.
- Whether the pending tax audit, project commitments, and reimbursement expectations for project advances or grants develop differently from management’s expectations.
