Gevo, Inc. — FY2021 Form 10-K Summary
Reporting period: Fiscal year ended December 31, 2021. This is an annual report; the supplied filing text does not provide a clear standalone Q4 financial breakdown.
Business context
Gevo is developing renewable fuels and chemicals, with sustainable aviation fuel (SAF) as its primary market focus. Its strategy is to convert carbohydrate feedstocks into alcohols and then renewable hydrocarbons, using renewable energy to target lower life-cycle greenhouse-gas emissions. In 2021, operations remained at development-scale facilities; commercial-scale growth depends on completing and financing new projects.
Financial performance and position
| Metric | FY2021 / Dec. 31, 2021 | FY2020 / Dec. 31, 2020 |
|---|---|---|
| Revenue | $0.7 million | $5.5 million |
| Gross loss | $11.5 million | $9.5 million |
| Operating loss | $60.1 million | $27.0 million |
| Net loss | $59.2 million | $40.2 million |
| Cash used in operating activities | $43.5 million | $19.3 million |
| Cash used in investing activities | $411.6 million | $5.9 million |
| Cash provided by financing activities | $512.9 million | $87.3 million |
Revenue fell approximately 87% year over year. Gevo attributed the decline to the Luverne ethanol-production suspension, initiated in March 2020 amid COVID-19 and unfavorable commodity conditions; the facility restarted in July 2021. Hydrocarbon revenue also declined, primarily because South Hampton had fewer finished-product shipments and limited isobutanol supply. FY2021 included a $5.2 million inventory write-down and a $5.1 million loss on disposal of assets.
At year-end, Gevo reported $40.8 million of cash and cash equivalents, $339.7 million of marketable securities, and $95.2 million of restricted cash. The securities were described as highly liquid; restricted cash was principally tied to the RNG project’s bond proceeds and collateral and was not freely available. Current assets were $351.8 million and current liabilities $32.6 million. The filing reports $66.5 million of 2021 Bonds payable, plus equipment/SBA loans and lease liabilities; total liabilities were $119.2 million. Management said it believed available resources would fund operations for at least one year from issuance of the financial statements, while also stating that additional capital would be needed to execute its plans.
Gevo reported an accumulated deficit of $557.4 million and said it expected continued losses and negative operating cash flow for the foreseeable future. The filing does not report a meaningful positive operating margin; the company recorded a gross loss despite limited revenue.
Material changes and financing
- Net loss widened by $19.0 million, operating loss by $33.1 million, and operating cash use by $24.2 million compared with 2020. Operating expenses increased substantially, including R&D, SG&A, and preliminary project costs.
- Gevo raised approximately $321.7 million net in a January 2021 registered offering and $135.8 million net through its at-the-market program during 2021. It also received approximately $69.0 million of proceeds from the 2021 Bonds.
- Common shares outstanding increased from 128.1 million at year-end 2020 to 202.0 million at year-end 2021. The company had up to $500 million of remaining ATM program capacity at year-end; further equity financing could dilute shareholders.
- The $68.2 million Iowa RNG bonds carry an initial 1.5% rate and mature in 2042, with a mandatory tender date in 2024. Gevo had pledged approximately $71.2 million of restricted cash as collateral and anticipated remarketing the bonds on revised, non-recourse terms; this outcome was not assured.
Outlook, commentary, and risks
- Management’s long-term ambition is at least 1 billion gallons of sales by 2030. Net-Zero 1 in South Dakota is planned for approximately 45–60 million gallons of annual hydrocarbon production, primarily SAF; Gevo expected its first greenfield facility to be operational in 2025. These are plans, not assured results.
- Gevo reported approximately 98 million gallons per year of hydrocarbon products under sales agreements it considered financeable. Important agreements, including take-or-pay arrangements, are subject to conditions such as securing financing and completing or acquiring suitable production facilities; expected contract revenue may not materialize.
- The Iowa RNG project was expected to produce approximately 355,000 MMBtu annually. Startup began in January 2022; the company projected steady-state operation in Q2 2022 and anticipated biogas revenue and RFS/California LCFS credit sales later in 2022, subject to ramp-up and qualification approvals.
- For 2022, Gevo estimated approximately $100 million for Net-Zero 1 engineering, development, deposits, and financing-related costs; $21 million for Net-Zero 2 design engineering; $5 million for Verity and the grower program; and a further $8 million to complete RNG construction.
- Major risks include continued funding needs, construction and cost-overrun risk, unproven commercial-scale production, dependence on feedstock and renewable-energy availability, volatile carbon-credit and petroleum markets, customer-contract conditions, regulatory or incentive changes, and the continuing effects of COVID-19 on airline demand and financing.
- After year-end, an anaerobic digester incident on February 7, 2022 caused an accidental water-and-manure discharge. Iowa’s DNR issued a notice of violation; Gevo said a sanction was possible but expected any monetary sanction to be no more than $300,000 and not material.
Most important facts for investors to verify
- Whether RNG reached steady operation, qualified for RFS/LCFS credits, and generated revenue on the projected schedule.
- Whether Net-Zero 1 obtains permits, financing, final construction economics, and a credible path to the stated 2025 operating target.
- Which of the approximately 98 million contracted gallons are binding and financeable, and whether their conditions precedent and customer rights permit expected revenue.
- Actual cash burn, accessible liquidity after excluding restricted cash, project spending, and the timing and terms of further financing or bond remarketing.
- The outcome and costs of the Iowa DNR matter and any operational or environmental consequences of the discharge.
