Gogoro Inc. — FY2021 Form 20-F
Reporting period: Fiscal year ended December 31, 2021; figures are in U.S. dollars and prepared under IFRS. This is an annual report, not a standalone Q4 report; the filing does not provide clear Q4-only financial results.
Business context
Gogoro sells electric scooters and related hardware and provides recurring battery-swapping and energy services. Taiwan accounted for 96.8% of 2021 revenue. At year-end, the company reported more than 2,200 swapping locations, over 450,000 subscribers, and more than 330,000 swaps per day. It was pursuing expansion through OEM partnerships in mainland China, India, and Indonesia.

Revenue was nearly flat year over year, but lower gross profit and higher operating expenses widened operating and net losses. Battery-swapping and energy services revenue increased 27% to $99.6 million, while scooter and related product revenue fell 7% to $255.0 million. Scooter sales volume declined 7% to 71,900 units. Operating cash flow improved substantially, supported in part by non-cash depreciation and amortization of $94.8 million and working-capital movements; it does not indicate the company was profitable.
At December 31, 2021, cash and cash equivalents were $217.4 million and current other financial assets were $28.7 million. Current assets were $358.0 million versus current liabilities of $480.5 million, leaving working capital of approximately $(122.5) million and a current ratio below 1. Total liabilities were $720.7 million. The balance sheet included $107.9 million of redeemable preferred-share liabilities, $100.0 million of bonds payable, and borrowings, as well as $72.1 million of short-term bills payable. Separately, the filing reports $681.9 million of aggregate obligations, including purchase commitments and preferred-share obligations; this is not the same as balance-sheet debt.
Material changes, outlook, risks, and unusual items
- Margin pressure: Cost of revenue rose 7% despite revenue growth of 1%. Management cited higher network operating and maintenance costs and idle-capacity charges as scooter production slowed.
- COVID-19: A Taiwan soft lockdown and delayed scooter subsidies affected sales and rider usage in the first half. Scooter sales and average riding mileage recovered in the second half; management expected a gradual recovery in swapping services and said the long-term subscription impact should be minor.
- Liquidity and covenant concern: At year-end, Gogoro did not meet the syndicated loan’s minimum current-ratio covenant and exceeded its maximum debt-ratio threshold. The loan terms call for financial improvement measures after consecutive failures. Gogoro said the subsequent business combination and PIPE improved these ratios.
- Subsequent financing and preferred-share redemption: The business combination with Poema Global closed April 4, 2022; Gogoro began Nasdaq trading April 5. The filing reports approximately $345 million in net proceeds associated with the transaction and PIPE, while the PIPE subscription amount was $294.8 million gross. Gogoro redeemed the $100 million redeemable preferred-share principal in January 2022 and paid related dividends. Approximately $40 million of total non-recurring transaction costs were reported in connection with the combination.
- No formal financial guidance: The filing provides no quantified revenue, margin, or earnings guidance. Management planned continued investment in R&D, Taiwan network operations, and international expansion, and said it believed resources were sufficient for at least 12 months from the report date, while noting additional financing might be needed if conditions changed.
- Key risks and contingencies: Risks include continued losses and financing needs; execution and funding of international expansion; dependence on OEMs and suppliers; battery-cell and semiconductor supply, cost, and safety; Taiwan subsidy changes; competition and EV adoption; and Taiwan–mainland China tensions and evolving PRC data and cybersecurity rules. A patent suit dismissed at trial remained on appeal with a reduced claim; no provision was recorded because the outcome could not be reasonably estimated.
- Controls and cybersecurity: Management concluded disclosure controls were ineffective due to a material weakness involving insufficient SEC-reporting expertise among financial reporting staff. Remediation was underway, with completion expected by the end of 2022, but not assured. Gogoro also disclosed a January 2022 ransomware attack that caused limited operational disruption and subsequent security enhancements.
Important facts for investors to verify
- Reconcile the reported $681.9 million of aggregate obligations with balance-sheet borrowings, bonds, preferred-share liabilities, and purchase commitments; review maturities, collateral, and covenant status after the April 2022 financing.
- Confirm the net cash actually received from the business combination and PIPE, the use of proceeds, and the effect of the preferred-share redemption.
- Track whether recurring energy-service growth can offset weaker hardware sales and whether gross margins recover from the FY2021 decline.
- Assess progress and required capital for the China, India, and Indonesia partnerships and network rollouts; these plans depend on partners and local regulatory approvals.
- Monitor remediation of the material weakness, any further cybersecurity incidents, and the outcome of the pending patent appeal.
