GH Research PLC — Form 20-F Summary
Reporting period: Fiscal year ended December 31, 2021. This is an annual report, not a standalone 2021 fourth-quarter report. GH Research is an Ireland-incorporated, clinical-stage biopharmaceutical company listed on Nasdaq (GHRS) and reports under IFRS in U.S. dollars.
Business context
The company is developing 5-MeO-DMT therapies for psychiatric and neurological disorders. GH001, its inhaled lead candidate, is in early clinical development, initially for treatment-resistant depression (TRD). Injectable GH002 and intranasal GH003 remained in preclinical development. The company had no approved products and no revenue.

There are no revenue-based margins to assess. The 2021 net loss included a $5.907 million foreign-exchange gain, primarily from translating U.S.-dollar cash held by the euro-functional subsidiary. Separately, other comprehensive income included a $6.103 million negative currency translation adjustment. Management disclosed that a 10% U.S.-dollar move against the euro would change 2021 pre-tax loss by about $10 million, all else equal; the company had no hedging arrangements.
Cash rose mainly through financing: the company reported $118.8 million net proceeds from its April 2021 Series B financing and $167.6 million net IPO proceeds in June. It reported no bank loans or other debt. Year-end current liabilities were $2.749 million and total equity was $277.175 million. Management said existing cash should fund operating expenses and capital needs for at least 12 months from the March 2022 financial-statement issuance date, subject to assumptions and development risks.
Changes versus the prior comparable period
- Net loss increased from $0.446 million to $9.202 million as R&D and G&A spending expanded with clinical and technical development, hiring, IPO preparation, and public-company costs.
- Operating cash use increased from $0.330 million to $15.283 million; financing cash inflow was $286.447 million in 2021.
- Cash increased by approximately $270.9 million year over year. The 2021 IPO and Series B financing substantially expanded the company’s funding base.
- The 2021 loss was partly offset by the foreign-exchange gain; reported comprehensive loss was $15.305 million, reflecting the separate negative currency translation adjustment.
Outlook, commentary, risks, and unusual items
- Development plans: Management planned to submit applications in several European countries for a randomized, controlled Phase 2b GH001 TRD trial in Q3 2022; expected, subject to regulatory clearance, to initiate Phase 2a trials for bipolar II depression and postpartum depression in Q3 2022; and planned a U.S. FDA pre-IND meeting in Q2 2022 for a proposed Phase 1 imaging study. These are forward-looking plans, not completed milestones.
- Early clinical findings: In a 16-patient, open-label Phase 1/2 TRD study, 7 of 8 patients in the individualized-dose Phase 2 part were in MADRS remission at day seven, versus 2 of 4 at 12 mg and 1 of 4 at 18 mg in the single-dose Phase 1 part. The small, short-duration study design limits how broadly these results can be applied; later controlled trials may differ.
- Safety and regulatory uncertainty: GH001 studies reported no serious adverse events to date in the described trials, but the candidates remain investigational. 5-MeO-DMT is Schedule I in the United States; commercialization would require product approval and controlled-substance rescheduling, with additional state-level and international requirements possible.
- Device and supply dependence: GH001 depends on a third-party vaporization device for current trials; the company disclosed no commercial supply agreement or established alternative device supplier. It also relies on third parties for drug substance, product, and device development and manufacturing.
- Funding and execution: The company expects losses and expenses to rise and may need additional financing. Clinical failure, trial delays, manufacturing scale-up, regulatory requirements, reimbursement, competition, and the ability to protect intellectual property are material uncertainties. The filing states it had no issued patents and relied on pending applications, trade secrets, and know-how.
- COVID-19: The company reported limited financial impact at the time of filing but noted continuing potential for trial, staffing, regulatory, and supply-chain disruption. It disclosed a three-month patient-recruitment break in a 2020 Netherlands trial due to local restrictions.
- Financial reporting controls: Management concluded disclosure controls were ineffective as of year-end and identified material weaknesses in financial-reporting controls, including insufficient accounting expertise, inadequate review and segregation of duties, and IT-control deficiencies. Management said the weaknesses had not caused a material misstatement and described remediation efforts. The auditor issued an unqualified IFRS opinion; its report did not attest to internal-control effectiveness.
- Other investor considerations: The company disclosed no material litigation or balance-sheet contingencies at year-end. It warned of potential PFIC status for U.S. investors, particularly in 2022 and later, and reported that insiders, directors, 5% holders, and affiliates beneficially owned approximately 74.7% of shares.
Most important facts for investors to verify
- Whether the planned 2022 trials and FDA engagement occurred on schedule, and what regulators required regarding trial design, the drug-device combination, and controlled-substance handling.
- Whether larger, randomized trials reproduce the early GH001 efficacy and safety findings, including durability of response and adverse-event results.
- Updated cash runway, operating cash burn, financing needs, and whether FX movements continue to materially affect reported results.
- Progress toward qualifying alternative/commercial devices and reliable, scalable manufacturing and supply arrangements.
- Whether the disclosed material weaknesses and ineffective disclosure controls have been remediated and independently validated.
- Current patent status, the extent of enforceable protection, and any material licensing or intellectual-property developments.
