Cash and cash equivalents were $211.5 million at March 31, down from $684.0 million at year-end. GLPI also held $343.2 million of U.S. Treasury bills, carried at amortized cost and scheduled to mature in August 2024 for $350 million. Total debt was $6.675 billion gross and $6.630 billion net of issuance costs and discounts. The quarter’s common dividend was $0.76 per share.
Material changes and notable items
- Real estate income rose $20.8 million, primarily from recent acquisitions, lease escalations, higher financing-receivable accretion and favorable straight-line rent adjustments. These gains were partly offset by $1.3 million of unfavorable variable rent, primarily related to the November 2023 PENN lease reset.
- Operating expenses increased $30.0 million, chiefly because the credit-loss provision swung to $23.3 million from a $5.7 million benefit in Q1 2023. The 2024 provision reflected lower estimated underlying real estate values; management said prices may remain low for several quarters. The provision is an estimate and is not itself a cash outflow.
- GLPI acquired Tioga Downs real estate for $175 million on February 6, 2024, issuing 434,304 operating partnership units as partial consideration. The lease’s initial annual rent is $14.5 million.
- Cash flow from operations increased despite lower GAAP net income. AFFO and Adjusted EBITDA increased, while FFO declined. These are non-GAAP measures and should not be treated as substitutes for GAAP results or cash flow.
- GLPI recorded a $22.2 million provision on financing receivables and a $1.1 million provision on real estate loans and the related unfunded commitment. The total allowance on financing receivables was $44.2 million at quarter-end.
Outlook, risks and contingencies
Management said operating cash flow, cash on hand, revolver availability and potential equity issuance are expected to cover anticipated debt service, capital expenditures, working capital and dividends. No quantified full-year earnings or revenue guidance is provided in the filing. GLPI intends to redeem its $400 million 3.350% notes due September 2024.
Potential future growth depends on acquisitions and access to debt and equity financing. Disclosed funding commitments include up to $225 million for PENN’s Aurora relocation and, if requested, up to $350 million for other PENN projects; up to $150 million for the Rockford development loan, of which $54 million had been funded; and up to $12.5 million for Casino Queen Marquette construction. The Tropicana site/Athletics stadium proposal contemplates up to $175 million of GLPI funding and remains subject to definitive documentation and approvals.
Key risks include tenant financial capacity and performance, tenant concentration (PENN leases a substantial number of properties and contributes significantly to revenue), inflation and consumer spending, interest rates and refinancing costs, real estate valuation assumptions underlying credit reserves, acquisition execution, and maintaining REIT qualification. GLPI reported covenant compliance at March 31, 2024. It said routine legal proceedings are not expected to materially adversely affect results, while noting litigation outcomes and insurance coverage cannot be assured.
