  • Revenue mix: Q2 hardware revenue was $3,999, down 61.4%; software revenue was $1,740, up 104.0%. For the six-month period, hardware revenue was $6,945, down 65.2%, while software revenue was $3,155, up 79.8%. Management attributed software growth primarily to recurring revenue gains.
  • Cash flow: Operating activities used $12,496 in the first six months, compared with $7,466 used in the prior-year period. Investing activities used $3,347; financing activities provided $10,218, including $10,449 of net proceeds from a common-stock offering.
  • Cash and working capital: At March 31, cash and cash equivalents were $3,544, short-term marketable securities were $3,011, and restricted cash was $346. Working capital was $10,331, versus $13,949 at September 30, 2023. The company reported no borrowings on its March 31 balance sheet; operating lease liabilities totaled $4,800.
  • Subsequent financing: On May 13, 2024, Genasys entered a two-year, $15,000 senior secured term loan, due May 13, 2026. Quarterly interest is payable at three-month SOFR plus 5% in cash, or SOFR plus 6% with half paid in cash and half in shares. The loan is secured by substantially all company assets and includes financial and other covenants.

Material changes and significant items

  • Revenue fell sharply as prior-year comparisons included substantial U.S. Army program deliveries: $5,700 in Q2 and $11,100 in the first six months. Deliveries under that program ended in fiscal Q4 2023. The decline also reflected a lower opening hardware backlog.
  • Lower hardware sales and reduced overhead absorption drove gross profit and margins down. Operating expenses rose 10% in Q2 and 7.4% for the six-month period, including higher compensation, commissions, professional services, research and development, and Evertel-related amortization.
  • Genasys acquired Evertel Technologies in October 2023 for estimated consideration of $4,637, including cash, stock, contingent consideration, and holdbacks. Evertel contributed $414 of revenue and $432 of net loss in the first six months after acquisition. The purchase price allocation remains preliminary.
  • The October 2023 public offering issued 5.75 million shares at $2.00 per share and generated $10,449 in net proceeds. Shares outstanding increased from 37.2 million at September 30 to 44.5 million at March 31.
  • Prepaid expenses and other current assets rose to $6,324 from $1,851, including a $3,500 bid-guarantee deposit tied to the Puerto Rico project.

Outlook, commentary, and risks

  • Management said the new, similar-sized U.S. defense program was included in the fiscal 2024 authorization, but procurement and purchase orders could take months after the late-March budget approval. Delayed government orders are expected to affect fiscal 2024 revenue.
  • Genasys described an award of up to $75,000 to engineer, procure, and build an emergency notification system for Puerto Rico as fully funded, and expects related revenue to begin in fiscal 2025. The filing does not provide a quantified full-year revenue or earnings forecast.
  • Management expects to continue investing in software and product development. Software is growing but remains loss-making; the software segment reported operating losses of $4,223 in Q2 and $8,338 for the six-month period.
  • Management stated that, based on its cash position, planned expenditures, and operating assumptions, it believes it has sufficient capital for the 12 months following issuance of the financial statements. It cautioned that changing cash receipts or expenditures could require additional capital, which may not be available on satisfactory terms.
  • Key risks include uneven government and military purchasing cycles, hardware order volatility, customer and receivable concentration, supply-chain disruption, inflation and margin pressure, and the ability to manage inventory and obtain release of the Puerto Rico bid bond. One customer represented 19% of Q2 revenue; two customers represented 42% of accounts receivable at March 31.
  • The company reported no pending material legal proceedings and no material changes to the risk factors in its latest Form 10-K. Management concluded disclosure controls were effective as of March 31, 2024.

Important facts for investors to verify

  • Timing and value of U.S. defense orders, including actual procurement under the newly authorized program, and the resulting fiscal 2024 revenue impact.
  • Puerto Rico contract milestones, revenue recognition schedule, funding and bid-bond release conditions, and whether revenue begins as expected in fiscal 2025.
  • Cash burn, liquidity after the May term loan, loan interest and covenant terms, and whether additional financing may be needed.
  • Software recurring-revenue growth and progress toward reducing segment operating losses, including Evertel integration and performance.
  • Final Evertel purchase accounting, remaining contingent consideration and holdback obligations, and the effect of further share issuance on dilution.
  • Customer concentration, receivable collection, hardware backlog, inventory levels, and gross-margin sensitivity to product mix and overhead absorption.
