FY2023 comprehensive loss was €11.45 million, including €199,131 of other comprehensive income. The filing does not present meaningful revenue or gross-margin measures because the company has no product sales. Net loss increased by about €3.17 million year over year, mainly reflecting higher R&D costs, lower R&D tax-credit benefits, and a swing from a substantial foreign-exchange gain in 2022 to a loss in 2023. R&D expense rose primarily with vector manufacturing and clinical-trial activity; G&A declined mainly because directors’ and officers’ insurance costs fell.

Cash used in investing activities was €14.89 million, principally for purchases of marketable securities (€14.88 million). Financing provided only €531 in 2023; there was no material debt reported. Year-end current assets were €21.26 million and current liabilities €1.74 million. Management estimated that year-end cash, cash equivalents, and marketable securities of approximately €18.8 million would fund operations into Q2 2025; the financial-statement note also says funds should cover at least 12 months from the March 2024 filing date. These are estimates subject to changing plans and assumptions.

Material developments, outlook, and risks

  • Clinical program: The Phase 1/2a Temferon study remained ongoing. The filing reports no dose-limiting toxicities to date, but also reports 17 deaths among 23 treated patients as of September 12, 2023; serious events were largely attributed by investigators to conditioning chemotherapy or disease progression. One serious unexpected event—elevated GGT—was considered possibly related to Temferon and resolved. Median overall survival was reported as 17 months from initial surgery. These are early, uncontrolled results and do not establish efficacy.
  • Planned development: Management intended to complete Phase 1/2a dosing and submit a European Phase 2 trial application by Q4 2024, with progression-free and overall survival endpoints. The filing also identifies renal cell cancer as a potential second solid-tumor indication. These plans are forward-looking and may change.
  • Funding: Genenta expects continued losses and requires additional capital. A shelf registration effective May 2023 permits offerings of up to $100 million in aggregate. The separate ATM agreement, with a $30 million sales limit, was terminated by mutual agreement on March 28, 2024; only 100 ADSs had been sold under it for approximately $639 gross proceeds.
  • Key risks: Clinical and regulatory uncertainty, gene-therapy safety risks and long-term follow-up requirements, dependence on OSR and third-party manufacturers and suppliers, single-facility/manufacturing continuity exposure, reliance on licensed intellectual property, foreign-exchange exposure (not hedged), and the need to raise further capital. The filing says management believes the company was likely a PFIC in 2023 and may remain one.
  • Other matters: Temferon received U.S. and EU orphan drug designation for GBM in 2023; designation does not assure approval. The OSR amended license became effective in April 2023 and includes royalties, milestones, and development obligations. No material legal proceedings were reported. Management said previously disclosed material weaknesses in internal control were remediated during Q4 2023 and concluded controls were effective at year-end; the auditor did not provide an ICFR attestation.

Important facts for investors to verify

  • Latest clinical-trial enrollment, follow-up, safety, and efficacy data, including the status and interpretation of the reported deaths and suspected Temferon-related event.
  • Actual cash burn, liquid investments, and runway against management’s Q2 2025 estimate, plus any subsequent financing or changes to planned spending.
  • Progress on the Phase 2 trial application, trial design, manufacturing strategy, and any U.S. or EU regulatory interactions.
  • Terms and continuing obligations under the OSR license and AGC manufacturing arrangements, including any material commitments or dependence on key suppliers.
  • Potential dilution from future equity issuance and the company’s PFIC status and related U.S. tax implications.
