- Debt bears a variable rate; the reported borrowing rate was 1.16%. The company was in compliance with credit-agreement covenants at quarter-end.

Material changes and management commentary
- Automotive sales rose 24% to $326.4 million, driven by a 13% increase in auto-dimming mirror shipments and the addition of HomeLink. Total mirror shipments were 7.124 million units, up 13%; international shipments increased 23%, while North American shipments declined 1%.
- Other-segment sales increased 44% to $9.4 million, primarily from higher dimmable aircraft-window shipments.
- Cost of goods sold fell to 60.9% of sales from 65.3%. Management attributed the improvement to HomeLink, product mix, purchasing savings and fixed-cost leverage, partly offset by customer price reductions.
- Research and development expense increased 10%, mainly due to staffing. Selling, general and administrative expense rose 25%, primarily reflecting HomeLink-related amortization.
- Other income increased, largely because of realized gains on equity investments; this was partly offset by $0.9 million of interest expense. The effective tax rate rose to 32.6% from 30.9%, primarily due to reduced benefits from expired R&D tax credits.
- Management said HomeLink integration was on schedule to slightly ahead of original projections, citing customer approvals, manufacturing transition, supplier integration and product development.
Outlook, risks and contingencies
- For Q2 2014, management forecast sales growth of 15%–20% versus Q2 2013 and gross margin of 39%–39.5%.
- Q2 R&D and SG&A expenses were each expected to increase 10%–15% year over year. Full-year 2014 capital expenditures were estimated at $75–$85 million and depreciation and amortization at $80–$85 million.
- Management cited continuing automotive pricing pressure, vehicle-production volatility, customer program delays or cancellations, changing product mix, supplier and material risks, and economic uncertainty. These may affect sales, margins, costs and planning.
- Management expected RCD mirror shipments to decline similarly in 2014 to the 21% decline experienced in 2013, as some customers shifted to rear-video displays integrated into radios. The NHTSA rearview-video-system rule did not indicate an immediate material opportunity for new RCD mirror applications.
- Euro NCAP-driven camera-based driver-assistance systems could displace some SmartBeam applications. The company also discussed risks from potential mirror-replacement technologies, though it develops mirrors, cameras and displays.
- Other risks include HomeLink integration and customer retention, conflict-minerals compliance and sourcing, investment-market losses or impairments, foreign exchange and interest rates, and intellectual-property claims. Management reported no material pending legal proceedings expected to materially harm financial position or future results, and no significant unrecorded off-balance-sheet arrangements.

- Debt repayment, variable-rate exposure, covenant headroom and available borrowing capacity.
- RCD mirror shipment trends and the effect of rearview-camera regulation and camera-based driver-assistance systems on the product portfolio.
