Guidance, outlook, risks and unusual items

Management believes existing cash, cash equivalents and marketable securities are sufficient to fund operations for at least the next 12 months from the date the financial statements were available for issuance. This estimate is subject to clinical-development timing, cost and financing risks. The company expects to require additional capital and may raise funds through equity, debt, collaborations, licenses or other arrangements.

On May 3, 2024, after the quarter ended, the company entered into a global collaboration and license agreement with Chiesi for seralutinib. Chiesi agreed to pay Gossamer $160 million as consideration and reimbursement for development costs, with potential regulatory milestones of up to $146 million and sales milestones of up to $180 million. The parties will generally share global development costs, with Gossamer solely responsible for the PROSERA Phase 3 study. U.S. commercial profits and losses will generally be shared equally; Chiesi will have exclusive commercialization rights in the rest of the world and will pay escalating mid-to-high teens royalties on applicable net sales. Chiesi also received an option to purchase Gossamer shares, subject to a 9.9% ownership cap and other conditions.

Also on May 3, 2024, the Credit Facility was terminated, repaid in full and discharged, and the lenders released their security interests. This occurred after the balance-sheet date; the March 31, 2024 balance sheet still reflects $9.6 million of Credit Facility debt.

The seralutinib license agreement with Pulmokine includes up to $48 million of development and regulatory milestones, $45 million of commercial milestones, $190 million of sales milestones and tiered royalties. Gossamer paid a $10 million milestone upon initiation of the Phase 3 seralutinib trial in January 2024.

Principal risks include clinical-trial failure or delay, inability to obtain regulatory approval, manufacturing and enrollment challenges, continued need for capital, potential dilution or unfavorable financing terms, dependence on the Chiesi collaboration, possible termination or underperformance of the collaboration, intellectual-property risks, and uncertainty regarding future milestone and royalty obligations. No material legal proceedings were reported, and management stated that disclosure controls were effective at the reasonable-assurance level.

Important facts for investors to verify

  • Verify the terms, accounting treatment and cash-receipt timing of the Chiesi collaboration, including the $160 million payment, milestone eligibility, cost-sharing obligations and equity option.
  • Confirm that the Credit Facility was fully repaid and that all related liens and security interests were released on May 3, 2024.
  • Monitor cash burn, marketable-securities balances and the company’s projected funding runway as PROSERA and the planned PH-ILD Phase 3 program advance.
  • Assess the clinical and regulatory probability of success for seralutinib, including the expected PROSERA topline data timing in late 2025.
  • Evaluate dilution exposure from 34.9 million outstanding stock options, 32.5 million warrants, potentially convertible 2027 Notes and the Chiesi equity option.
  • Review the 2027 Notes’ $200 million principal balance, conversion conditions and maturity on June 1, 2027.
