- Natural gas generated all Q1 revenue: 260,201 cubic meters sold to one customer. Its segment recorded a $41,983 operating loss; the segment’s gross margin was 6%.
- Shutdown labor and factory overhead were $4.29 million, versus $5.70 million a year earlier. Lower G&A, including reduced foreign-exchange losses and taxes following demolition of three bromine factories, helped narrow the operating loss.
- Net loss improved 30% year over year, while cash from operations shifted from positive to negative. Cash increased by $654,206, mainly because of $3.45 million of favorable exchange-rate effects, despite operating and investing outflows.
- Finance lease liabilities were $2.35 million and operating lease liabilities were $8.95 million at quarter-end. The operating lease balances were recognized following adoption of the new lease standard on January 1, 2019. The filing reports no major financing activities.
- Q1 income tax benefit was $1.40 million, primarily deferred. Comprehensive income was $1.26 million, reflecting $6.17 million of foreign-currency translation income despite the net loss.
Changes, outlook and risks
- Revenue fell sharply because no bromine, crude salt or chemical products were sold in the quarter; these businesses had generated $2.25 million of revenue in Q1 2018. Natural gas trial sales were new in Q1 2019.
- Three bromine factories (Nos. 3, 4 and 11) were ordered closed and demolished. The remaining facilities faced provincial project, planning, land-use and environmental approvals, with no certain timeline for resumption. Subsequent to quarter-end, two factory subdivisions reportedly received verbal approval and began operating in April 2019.
- The company is relocating two chemical plants to Bohai Park. Management estimates total relocation costs of approximately $60 million; construction awaits final government approval. The filing cites approximately $26.17 million of capital expenditure payable within 12 months and says it expects approximately $50 million of additional capital expenditure for relocation.
- Management believes cash and operating resources will cover obligations for the next 12 months and intends to retain cash for relocation and business development. It does not anticipate cash dividends in the foreseeable future. No specific earnings or revenue guidance is provided.
- Key risks include prolonged shutdowns or approval delays, relocation cost and timing, and reliance on a single natural-gas customer for all quarterly sales. Substantially all cash is held at PRC financial institutions and is not insured or otherwise protected. The filing also discloses land and property without ownership certificates and reports no additional long-lived-asset impairment for the quarter.
- Management concluded disclosure controls were effective; no material change in internal control over financial reporting was reported. No legal proceedings were disclosed.
Important facts for investors to verify
- Whether the April factory restart was formally approved, which facilities are operating, and whether required permits for other plants have been obtained.
- The status and timing of final approval and construction at Bohai Park, and the expected total funding and timing of relocation expenditures.
- Whether natural-gas sales can expand beyond the sole Q1 customer and improve segment economics.
- The filing’s balance sheet reports $20,508 of accounts receivable at March 31, 2019, while MD&A says there was no accounts receivable; reconcile this discrepancy.
- Cash availability and transferability from PRC subsidiaries, and the implications of uninsured deposits and property/land without certificates.
