Revenue growth and much of the earnings increase reflected SCRC consolidation: it contributed $51.3 million revenue and $12.7 million net income after acquisition. Pro forma figures assuming SCRC had been acquired at the start of each year were revenue of $168.0 million and net income of $35.5 million in 2015, versus $160.6 million and $29.7 million in 2014.

Segments: Chemical products revenue rose 121% to $99.4 million, including the acquired SCRC business; bromine revenue fell 10% to $52.4 million, and crude salt revenue fell 2% to $10.5 million. Bromine sales volume declined 17% and crude salt volume declined 3%. Chemical products operating income increased to $33.0 million; bromine operating income was $10.9 million and crude salt $1.2 million.

Investing activities used $75.8 million, including $66.3 million cash consideration for SCRC and $22.9 million of capital expenditures, partly offset by $14.1 million cash acquired. Financing activities used $0.3 million. Current assets were $190.8 million against current liabilities of $16.1 million. Management said available funds and operating cash flows should meet needs for the next 12 months.

Material changes, outlook and risks

  • Acquisition and dilution: SCRC was acquired for reported total consideration of $79.7 million: $66.3 million cash and 7,268,011 shares valued at $13.4 million for accounting purposes. The shares are subject to a five-year lock-up. The filing’s business narrative also describes total consideration as approximately $80.8 million; investors should reconcile the figures.
  • 2016 spending plans: Management expected approximately $15 million for bromine facility enhancements, $10 million for Sichuan natural-gas development, and $1 million for ordinary maintenance, funded from cash on hand.
  • Sichuan project: Management estimated the discovered natural-gas well could generate approximately $4.7 million annual revenue and $2.3 million annual net income. These are estimates, not reported operating results; trial production was still under discussion with the government, and the new subsidiary had not commenced operations or received capital contributions.
  • Resource and operating risks: The company reports no proven or probable brine reserves. Bromine utilization fell to 40% from 45%, and management cited declining brine concentration and weaker demand associated with China’s economic tightening. Bromine and salt mining permits for Factories 5, 6, 8, 9, 10 and 11 were under application; Factories 10 and 11 also lacked the stated local authorization to operate. Permits are subject to annual review.
  • Concentration, currency and governance risks: Top five customers represented 31.7% of 2015 sales; top five suppliers provided 57.6% of raw materials. The company reported a $21.7 million foreign-currency translation adjustment in other comprehensive income and a $7.3 million adverse exchange-rate effect on cash. Certain PRC-resident shareholders had not completed required SAFE registrations, which could affect capital contributions or dividend remittances.
  • Other matters: The company disclosed land-use and property-certificate limitations affecting certain assets, environmental and safety compliance risks, and potential customer and supplier relationship disruptions. It reported no legal proceedings, no material off-balance-sheet arrangements, and no expected cash dividends in the foreseeable future.

The independent auditor issued an unqualified opinion on the financial statements. Management concluded disclosure controls and internal control over financial reporting were effective as of year-end; the auditor did not attest to internal-control effectiveness.

Important facts for investors to verify

  • Reconcile SCRC purchase-price descriptions and verify the acquired business’s reported contribution, goodwill of $29.6 million, and subsequent performance.
  • Confirm status and renewal of mining permits, particularly for Factories 5, 6, 8–11, and the required approvals for Factories 10 and 11.
  • Verify the Sichuan project’s trial-production approvals, funding, commercial reserves, and whether management’s revenue and earnings estimates are supportable.
  • Assess collectability and concentration of receivables: year-end receivables were $50.0 million, with no doubtful-account allowance; the filing says 98% of balances aged over 90 days were settled by February 29, 2016.
  • Evaluate access to PRC-held cash, SAFE registration compliance, foreign-exchange exposure, and the effect of the $21.7 million translation loss on equity.
  • Review planned 2016 capital spending against cash generation and operating needs, and track bromine production volumes, brine concentration, and utilization.
