Revenue fell across all segments: bromine $13.45 million, down 55%; crude salt $2.27 million, down 55%; and chemical products $8.08 million, down 21%. Management attributed the declines chiefly to weaker demand amid PRC economic tightening. Bromine sales volume fell 43% and its average selling price fell 22%; crude salt volume fell 40% and average price fell 24%. Chemical-product sales were mixed: pesticides additives revenue rose 85%, partly offsetting lower oil-and-gas and paper additives revenue.

Margins contracted in every segment: bromine 27% versus 56%, crude salt 32% versus 80%, and chemical products 29% versus 38%. Management cited lower prices and volumes, along with higher depreciation following facility enhancements and shorter estimated useful lives for certain equipment. Bromine production utilization was 37%, versus 60% a year earlier, despite an estimated capacity increase of 3,000 tonnes.

Financial position and liquidity

  • Cash was $81.87 million at March 31, 2012, up $3.29 million from year-end. Total assets were $261.80 million; stockholders’ equity was $246.69 million.
  • Working capital was approximately $102.5 million, compared with $93.3 million at December 31, 2011. Current assets were $114.55 million and current liabilities $12.07 million.
  • Operating cash flow of $3.31 million was broadly in line with net income. Higher receivables and taxes paid used working capital; depreciation and amortization were significant non-cash charges. Investing cash outflow was $0.11 million, primarily for prepaid land leases; there was no net financing cash flow.
  • Accounts receivable rose 24% to $27.28 million; turnover days increased from 48 in fiscal 2011 to 90 in the quarter. Seven percent was aged over 90 days, which the company said was collected in April. No doubtful-account allowance was recorded.
  • No conventional borrowings were reported. Capital lease obligations had a $3.28 million present value, including $0.24 million current; the leases carry a stated 6.7% imputed rate. Undiscounted operating lease commitments totaled $22.86 million.

Outlook, risks, and unusual items

  • No formal earnings guidance was provided. Management expected bromine and crude salt prices to remain around current levels through year-end if PRC economic tightening continued. It said available funds and operating cash flow should cover anticipated operating needs for 12 months, but additional financing may be needed for acquisitions, capacity expansion, and new brine-resource development. Funding is not assured.
  • Management planned to resume facility enhancement work in Q2 and Q3 2012, weather permitting, to address leakage and declining brine concentration. No such work occurred in Q1 because of weather.
  • The company reported a putative securities class action alleging, among other things, that prior reports overstated revenue and net income and omitted related-party information. The court had not ruled on the motion to dismiss; the company said it could not estimate possible losses. Q1 legal costs were $411,289.
  • Ownership documentation risks remain: the company lacked land-use certificates for parcels covering about 101.52 square kilometers and property certificates for certain buildings and salt pans with a $30.83 million carrying value. No impairment was recorded for the quarter.
  • Customer and supplier concentration is material. The top five customers accounted for 45.3% of sales; the top five suppliers provided 80.8% of raw materials. Substantially all cash was held at PRC banks and was uninsured or otherwise unprotected.
  • A related-party loan of $175,000 from an entity wholly owned by Chairman Ming Yang was unsecured, interest-free, repayable on demand, and fully repaid during the quarter. Management said disclosure controls were effective and reported added procedures and training to address weaknesses identified in the 2011 Form 10-K.
  • The company did not anticipate cash dividends in the foreseeable future. It reported no material off-balance-sheet arrangements and no purchase commitments at quarter-end.

Important facts for investors to verify

  • Whether demand, selling prices, utilization, and segment margins stabilize or recover, and how the announced facility work affects output and costs.
  • Whether receivables continue to be collected promptly and whether customer or supplier concentration creates disruption or credit risk.
  • The status and potential financial impact of the securities litigation, and the progress of internal-control remediation and related-party disclosures.
  • The legal status of land-use and property certificates and whether any resulting restrictions or impairment risks arise.
  • Whether planned expansion can be funded on acceptable terms without materially weakening liquidity or diluting shareholders.
