Material changes and notable items
- Reported earnings increased year over year, alongside higher net interest income and noninterest income. Growth reflects the CBI acquisition as well as higher loan balances; the acquisition makes direct comparisons with 2014 less comparable.
- Noninterest income more than doubled in Q2, including $2.5 million of PCI-loan disposition gains, $1.9 million of securities-sale gains, and $1.6 million of SBA-loan sale gains. First-half PCI disposition gains were $3.7 million and securities-sale gains were $4.1 million.
- Noninterest expense rose 49.5% in Q2 and 63.7% for the first half. Salaries, occupancy, data processing, merger/integration expenses and professional fees increased, reflecting the acquired operations and infrastructure/control work. First-half merger and integration costs were $1.7 million.
- Loan quality indicators were mixed: nonperforming assets declined to $39.9 million from $41.1 million at year-end, mainly as OREO fell, but nonaccrual non-PCI loans increased to $28.0 million from $25.3 million. Classified non-PCI loans were $44.8 million; allowance for loan losses was $50.8 million, or 1.77% of gross loans.
- Commercial real estate represented most of the loan portfolio. Reported industry concentrations included lessors of nonresidential buildings (25.2% of gross loans), hospitality (17.6%), and gas stations (12.5%).
- Available-for-sale securities totaled $728.7 million and had a net unrealized loss of $1.1 million. Management reported no other-than-temporary impairment charge in the first half.
Outlook, risks and contingencies
- The filing provides no specific earnings or revenue guidance. Management stated it believed the holding company had adequate liquid assets to meet operating cash needs through June 30, 2016, and the Bank had adequate liquid assets for current obligations.
- Management cited risks including credit deterioration and adequacy of loan-loss reserves; economic and real-estate conditions; interest-rate, securities-market and funding changes; competition for loans and deposits; regulatory or supervisory actions; acquisition integration; and the Bank’s ability to distribute funds to the holding company.
- The Bank’s interest-rate sensitivity analysis estimated that an immediate +100 basis-point shift would increase one-year net interest income 4.11% and economic value of equity 0.41%; larger modeled rate increases raised net interest income but reduced economic value of equity. Management cautioned that these estimates depend on assumptions and are not forecasts.
- Off-balance-sheet commitments to extend credit were $270.7 million; standby and commercial letters of credit were $10.1 million combined. Ordinary-course litigation was not expected by management to have a material adverse effect. The filing reported no material changes to previously disclosed risk factors and no material subsequent events.
Important facts for investors to verify
- How much of earnings and margin depended on CBI purchase-accounting accretion, securities sales, and PCI-loan disposition gains, and how sustainable those items are.
- Whether elevated nonaccrual loans and the large real-estate and industry concentrations lead to further credit deterioration, provisions, or charge-offs.
- Whether loan and deposit trends, liquidity sources, and the repayment of FHLB advances remain consistent with management’s liquidity assessment.
- The continuing cost and expected benefits of acquisition integration and infrastructure/control spending, and the effect on operating efficiency.
- Capital ratios and dividend capacity under applicable regulatory requirements; the company reported a $0.11-per-share Q2 dividend, paid July 15, 2015.
