HALOZYME THERAPEUTICS, INC. quarterly report, Q1 FY2023

Halozyme Therapeutics, Inc. — Q1 2023 Form 10-Q

Reporting period: Three months ended March 31, 2023; filed May 9, 2023. Halozyme develops and licenses ENHANZE, a technology using rHuPH20 to enable subcutaneous drug delivery, and sells proprietary and partnered products, including auto-injector products. The 2023 results include Antares Pharma, acquired in May 2022, so comparisons with Q1 2022 are affected by the acquisition.

Financial results and liquidity

MetricQ1 2023Q1 2022
Total revenue$162.1 million$117.3 million
Operating income$53.8 million$75.7 million
Net income$39.6 million$60.1 million
Diluted EPS$0.29$0.43
Operating cash flow$87.0 million$47.8 million
Capital expenditures$11.4 million$0.5 million
  • Revenue grew 38% year over year. Royalties increased 43% to $99.6 million, product sales rose to $60.8 million from $22.1 million, and collaborative-agreement revenue fell to $1.7 million from $25.5 million.
  • Operating margin was approximately 33% versus 65%; net margin was approximately 24% versus 51%. The margin contraction accompanied higher costs, including acquisition-related expenses and amortization.
  • Operating expenses were $108.3 million, up from $41.6 million. This included $17.8 million of acquired-intangible amortization, versus none in the prior-year quarter; R&D was $18.0 million and SG&A was $37.4 million.
  • Cash, cash equivalents and marketable securities totaled $275.6 million at quarter-end. Cash and equivalents were $96.4 million and available-for-sale securities were $179.2 million. Management said these resources should fund operations for at least 12 months.
  • Net cash used in investing activities was $60.2 million, primarily reflecting securities purchases and capital spending. Financing used $164.6 million, including $150.1 million of share repurchases and $13.5 million paid on conversion of the 2024 notes. Cash, cash equivalents and restricted cash decreased $137.8 million during the quarter.
  • Long-term debt, net of discount, was $1.494 billion, representing $1.525 billion of principal on the 2027 and 2028 convertible notes. The 2024 notes converted in full during March. The $575 million revolving credit facility was undrawn at quarter-end; the term loan had been repaid.
  • Current assets were $615.0 million and current liabilities $91.9 million. Stockholders’ equity fell to $65.9 million from $169.8 million, largely reflecting the quarter’s repurchases.

Material changes and management commentary

  • Royalty growth was attributed mainly to continued uptake of DARZALEX FASPRO and Phesgo, plus device royalties following the Antares acquisition; this was partly offset by lower sales of Roche’s Herceptin SC and MabThera SC. Management expects royalty growth from newer launches, with biosimilar effects on mature products a partial offset.
  • Higher product sales reflected Antares-acquired proprietary and device-partnered products, as well as bulk rHuPH20. Management expects proprietary product sales to grow over time and bulk enzyme and device sales to vary with partner demand.
  • Collaborative revenue declined primarily because Q1 2022 included a $25.0 million Chugai upfront license fee. Management said collaboration revenue will fluctuate with partner activity, milestones and new agreements.
  • Management estimated a full-year 2023 effective tax rate of approximately 20%; the Q1 effective rate was 24.1%.
  • Under the three-year, $750 million repurchase authorization, Halozyme repurchased 4.2 million shares for $150.1 million in Q1. Cumulative repurchases reached $500 million by March 31, 2023.

Outlook, events and risks

  • The filing provides no numeric revenue or earnings guidance. Key partner regulatory dates included a June 20, 2023 PDUFA date for argenx’s subcutaneous efgartigimod and a September 15, 2023 PDUFA goal date for Roche’s subcutaneous Tecentriq. Takeda announced FDA approval of a pediatric HYQVIA indication in April 2023.
  • Halozyme identified regulatory approval and commercialization by partners, reliance on third-party manufacturers and suppliers, and dependence on rHuPH20 and ENHANZE as material business risks. Other risks include competition and biosimilars, reimbursement and pricing pressure, intellectual-property challenges, and integration and performance of Antares.
  • The company reported substantial debt and noted that debt service, conditional conversion features and potential dilution could affect liquidity and shareholders. It reported compliance with debt covenants and no material change in business, operations or financial condition under the convertible-note disclosures.
  • In March 2023, the European Patent Office revoked a Janssen co-formulation patent for DARZALEX SC. The filing describes potential intellectual-property challenges as a risk; it does not quantify the financial impact of this decision.
  • Halozyme notified Ferring that it would terminate the NOCDURNA license effective October 2023. In April 2023, the FDA ordered withdrawal of Makena; Covis was implementing the withdrawal, with only limited product remaining in the channel.
  • The company said it was not party to legal proceedings whose adverse outcome it believed would have a material effect on its financial statements. Disclosure controls were assessed as effective, with no significant quarterly change in internal control over financial reporting.

Important facts for investors to verify

  • How much of reported growth reflects continuing operations versus the Antares acquisition, and whether proprietary-product growth is sustained.
  • Partner product sales, launch progress and regulatory decisions, including the cited Tecentriq and efgartigimod review dates.
  • Whether royalty growth offsets biosimilar pressure on mature ENHANZE products, and the commercial effect of the Janssen patent decision.
  • Cash use after the large Q1 repurchase, remaining authorization, and the company’s ability to manage $1.525 billion of convertible-note principal.
  • The revenue and operating impact of the NOCDURNA license termination and Makena withdrawal, which the filing does not clearly quantify.
