Q2 revenue comprised $12.8 million of product sales, $14.7 million of royalties, and $6.2 million under collaborative agreements. For the first half, those categories were $24.2 million, $28.7 million, and $10.4 million, respectively. Product-sales gross margin was approximately 39% in Q2 versus 39% a year earlier, and 37% for the first half versus 40%.

At June 30, cash and cash equivalents were $114.7 million and marketable securities were $182.8 million, totaling $297.5 million in cash, equivalents, and securities. Total debt, net of discounts, was $211.0 million ($45.5 million current and $165.5 million long-term). The resulting cash-and-securities excess over reported debt was approximately $86.5 million. Stockholders’ equity was $58.2 million, compared with a $32.5 million deficit at year-end 2016.

Changes from the prior comparable period

  • Q2 revenue increased 1% year over year; first-half revenue declined 16%, primarily because the 2016 first half included $15.5 million of license and milestone revenue from collaborations that did not recur in 2017.
  • Royalties rose 20% in Q2 and 21% in the first half, reflecting higher collaborator sales of Roche’s Herceptin SC and MabThera SC and Baxalta’s HYQVIA.
  • First-half product sales fell 9%, chiefly from lower bulk rHuPH20 sales to Roche and lower Hylenex sales. Roche inventory drawdown ahead of a manufacturing-source transition is expected to weigh on bulk sales in 2017 and 2018.
  • First-half net loss widened by $17.0 million. R&D was broadly flat at $75.3 million, while SG&A rose 17% to $25.7 million and interest expense rose to $11.0 million.
  • Cash from the May public offering contributed $134.9 million in net proceeds; 11.5 million shares were sold at $12.50 each.

Outlook, developments, and risks

  • Management stated that available cash, equivalents, and marketable securities should fund operations for at least the next 12 months. It also cautioned that additional financing may be needed and may not be available on favorable terms.
  • Management expects PEGPH20 development spending to increase, SG&A to rise moderately, Hylenex sales to be flat or grow modestly, and royalties generally to increase, while noting that collaborator sales and activity can fluctuate.
  • PEGPH20 with gemcitabine and nab-paclitaxel was in Phase 3 testing for HA-high stage IV pancreatic cancer. The June 2017 safety committee review recommended that the trial proceed as planned. Study 202 results showed encouraging HA-high subgroup outcomes, but the study database remained open and results were not final.
  • Separately, SWOG stopped enrollment in its PEGPH20 plus modified-FOLFIRINOX study after a futility review found the all-comer trial unlikely to meet its overall-survival endpoint; a higher death rate was observed in the PEGPH20 arm. The company said its other PEGPH20 studies continued unchanged.
  • Roche’s RITUXAN HYCELA, containing rHuPH20, received FDA approval in June 2017 for CLL and two types of non-Hodgkin lymphoma. Lilly initiated a Phase 1 study using rHuPH20 in August 2017.
  • The royalty-backed loan carried a 10.0% interest rate at quarter-end, with repayment estimated by the company for Q1 2020, subject to royalty levels. The separate Oxford/SVB loan was secured by substantially all company assets, subject to exclusions; the company reported compliance with debt covenants.
  • Key risks include clinical efficacy and safety, regulatory approval, dependence on collaborators and contract manufacturers, potential rHuPH20-related concerns, competition, and financing needs. The company disclosed no legal proceeding expected by management to have a material adverse effect.
  • Adoption of the new revenue standard, Topic 606, was planned for January 1, 2018 using the modified retrospective method. The company anticipated a material financial-statement impact, including changes in timing for certain collaboration payments and sales-based royalties, but could not yet estimate the impact.

Important facts for investors to verify

  • Progress, enrollment, safety, and final efficacy results for the Phase 3 PEGPH20 pancreatic cancer trial, including the HA-high patient-selection strategy.
  • Whether royalty growth offsets expected Roche bulk-supply sales declines and the reduction in Roche-related service revenue after manufacturing-facility validation.
  • Cash burn, financing needs, dilution risk, and the assumptions supporting the stated 12-month liquidity runway.
  • Royalty-backed loan repayment trajectory and the effect of royalty performance on timing and cash available to the company.
  • The quantified effects of Topic 606 adoption and any resulting change to deferred revenue, accumulated equity, or royalty receivables.
