Cash, cash equivalents and marketable securities totaled approximately $238.6 million at quarter end. Investing cash outflow was $105.6 million, largely reflecting net purchases of marketable securities; financing provided $144.4 million, chiefly from the royalty-backed loan. Current assets were $297.0 million and current liabilities $64.2 million.

Material changes versus prior period

  • Revenue rose 128%, principally reflecting $33.0 million of license-fee revenue recognized under the Lilly collaboration and $6.0 million of milestone or event-based collaboration payments. Royalty revenue increased mainly because of higher Roche Herceptin SC sales.
  • R&D expense increased $23.4 million, primarily from expanded PEGPH20 clinical activity and ENHANZE-related manufacturing. Management expects R&D to rise as PEGPH20 development continues; SG&A is expected to increase moderately.
  • Net loss widened by $4.7 million despite higher revenue, as operating expenses and interest expense increased.
  • In January, the company borrowed $150 million through a royalty-backed financing subsidiary, secured by specified Roche and Baxalta royalties. The loan bears interest at 8.75% plus capped three-month LIBOR; the reported Q1 rate was 9.45%. Management estimated repayment in Q1 2020, subject to royalty performance. The separate Oxford/SVB loan had a $46.0 million outstanding balance and matures January 2018.

Outlook, commentary and risks

  • Management said existing cash, cash equivalents and marketable securities should fund operations for at least the next 12 months. It anticipated a $45–$65 million increase in cash and cash equivalents during 2016, dependent on program progress, manufacturing scale-up, milestones and royalties. The filing cautions that available resources may not fund operations until profitability, if ever, and additional financing may be needed.
  • PEGPH20 Phase 3 Study 109-301 in previously untreated stage IV pancreatic cancer began dosing in March 2016. The company projected mature PFS and response-rate results from Phase 2 Study 109-202 in Q4 2016. The FDA-approved investigational device exemption for the Ventana companion diagnostic supports patient selection for Study 301.
  • PEGPH20 development remains subject to safety and regulatory uncertainty. A prior Study 202 clinical hold followed a possible imbalance in thromboembolic events; the revised trial uses anticoagulant prophylaxis and continues safety monitoring. Further safety concerns could halt studies.
  • Key business risks include clinical-trial and regulatory failure or delay, dependence on collaborators for development and commercialization, third-party manufacturing and supply, rHuPH20-related safety or regulatory issues, competition, and financing and debt obligations. Collaborators may terminate agreements, and royalty-backed loan repayment depends on royalties received.
  • The company reported no material legal proceedings and stated it was in compliance with material covenants on both loan facilities. Disclosure controls were assessed as effective; no material change in internal control was reported.

Important facts for investors to verify

  • Whether Q4 2016 Study 109-202 results, subsequent safety findings, and Study 109-301 progress support the projected clinical and regulatory path.
  • Whether Roche and Baxalta product sales sustain royalties sufficient to support the royalty-backed loan’s estimated repayment timing.
  • How much of the reported revenue increase reflects recurring product sales and royalties versus license fees and milestone payments.
  • Actual operating cash use, R&D spending, financing needs, and progress against management’s 2016 cash outlook.
  • Any updates to trial safety, companion-diagnostic requirements, manufacturing capacity, or collaborator development and commercialization plans.
