Product-sales gross profit was approximately $15.1 million, or 40% of product sales, versus approximately $18.2 million, or 74%, in 2013. Comparability is affected by manufacturing costs for collaboration products being expensed as R&D before approval and capitalized as inventory after approval; 2013 gross profit also benefited from previously expensed manufacturing costs.

Fourth-quarter 2014 revenue was $30.4 million and net loss was $5.3 million, compared with revenue of $12.5 million and net loss of $22.0 million in fourth-quarter 2013. The 2014 quarter included the $15.0 million Janssen license fee.

Material changes and business developments

  • Halozyme raised $107.7 million net in a February 2014 common-stock offering; year-end shares outstanding increased to 125.7 million from 114.5 million a year earlier.
  • Roche’s European launches of Herceptin SC and MabThera SC, and Baxter’s U.S. launch of HYQVIA after FDA approval, expanded commercial use of Enhanze. HYQVIA was Halozyme’s first U.S.-approved BLA product using rHuPH20.
  • Roche accounted for 57% of FY2014 revenue and Janssen 20%, demonstrating substantial customer and collaboration concentration.
  • Halozyme received a $15.0 million upfront fee under its new Janssen collaboration. The company reported eligibility for up to $566 million in additional development, regulatory and sales-based payments, which are contingent and not assured.
  • Management refocused investment on PEGPH20 and Enhanze and reduced the workforce by approximately 13%; restructuring expense was $1.2 million.

Outlook, risks and unusual items

  • Management estimated 2015 net cash burn of approximately $35–$45 million and said available cash and securities were expected to fund operations for at least 12 months. R&D expense was expected to rise as clinical programs and manufacturing development progressed.
  • PEGPH20 was in Phase 2 testing for metastatic pancreatic cancer and Phase 1b/2 testing in non-small cell lung cancer. FDA Fast Track and U.S. and European orphan designations were granted for pancreatic cancer; these designations do not constitute approval.
  • Study 109-202 was placed on clinical hold in April 2014 over a possible thromboembolic-event imbalance, then resumed under a revised protocol with risk exclusions, anticoagulant prophylaxis and additional safety monitoring. Interim Stage 1 results showed a 5.5-month versus 4.8-month progression-free survival result overall; the high-HA subgroup showed 9.2 versus 4.3 months. These were interim findings, and the trial remained subject to safety monitoring and further results.
  • Management reported 2014 R&D spending of $34.9 million on PEGPH20. Diabetes development was deprioritized: the company planned no substantial additional spending on the insulin-pump program beyond trial closeout, pending FDA clarity and potential partners.
  • Cash generation depends on partner development, regulatory approvals, product launches, royalties and contingent milestones. The company had recurring losses, negative operating cash flow, dependence on a small number of collaborators and outsourced manufacturers, and no assurance of profitability.
  • Debt is secured by substantially all company and subsidiary assets other than specified exclusions, carries restrictive covenants, and includes a final payment of $4.25 million. A January 2015 amendment provided interest-only payments through January 2016, followed by principal and interest through the January 2018 maturity.
  • The filing disclosed no material legal proceedings. Management and the auditor reported effective internal control over financial reporting; the financial statements received an unqualified audit opinion.

Most important facts for investors to verify

  • Updated PEGPH20 efficacy and safety results, especially thromboembolic-event rates and whether the revised protocol controls that risk.
  • Whether the high-HA patient subgroup findings are confirmed in adequately powered studies and support a viable registration path and companion diagnostic.
  • Actual 2015 cash burn, liquidity runway, and any need for additional financing or dilution.
  • Commercial uptake, royalties and supply economics for Roche’s and Baxter’s products, alongside revenue concentration and collaborator performance.
  • Manufacturing capacity, qualification and cost reductions from the planned transition of Hylenex fill-and-finish to Patheon and scale-up of PEGPH20.
  • Progress of the Janssen collaboration and achievement of any contingent milestones; the stated potential payments are not guaranteed.
