Cash flow, debt and liquidity
- Cash and cash equivalents were $0.075 million at September 30, 2023, versus $1.341 million at December 31, 2022. Current assets were $4.893 million and current liabilities $6.852 million, implying negative working capital of approximately $1.959 million and a 0.7 current ratio.
- For the first nine months, operating cash outflow was $2.826 million, investing cash outflow $0.007 million, and financing cash inflow $1.567 million. Cash decreased by $1.266 million.
- Short-term borrowings were $3.479 million, comprising $2.997 million under a receivables-backed Seacoast facility and $0.482 million from Agile Lending. The Seacoast facility bears interest at a floating rate of prime plus 1%. The filing reports $8.339 million in total liabilities, including $1.487 million of contingent consideration and $0.795 million of warrant liability.
- Management said operating cash flows should meet working-capital needs for the next 12 months, but warned that additional financing may be needed if cash flows prove insufficient and that such funding may not be available on reasonable terms.
Material changes, outlook and risks
- Management said it is shifting its growth focus toward managed services, platform services and recurring subscriptions. SaaS products were described as early in marketing, with customer acceptance and their potential contribution to revenue still uncertain. The filing provides no quantified revenue or earnings guidance.
- Customer concentration is significant: the largest customer generated 54% of Q3 revenue, and the top five generated 78%. The largest customer accounted for 52% of nine-month revenue.
- The parent company, SecureKloud Technologies, owned 59.61% of Healthcare Triangle at quarter-end and provides technical, shared and office services under agreements with the company. The filing reports $0.946 million of parent-provided technical services in Q3 2023, compared with $0.334 million a year earlier.
- Management reported no major COVID-19 impact in the quarter, no material changes to the risk factors previously disclosed, and no reportable subsequent events through November 13, 2023. It reported no material legal proceedings and concluded disclosure controls were effective as of September 30, 2023.
- Forward-looking risks include customer additions and renewals, adoption of subscription products, competition, cybersecurity and privacy incidents, reliance on key personnel and partners, debt repayment, and the availability of sufficient cash.
Most important facts to verify
- Whether the very low cash balance, operating cash burn and negative working capital are consistent with management’s stated 12-month liquidity outlook, and what financing alternatives are available.
- Whether revenue and gross-margin declines continue, particularly in platform services, and whether recurring subscription revenue grows enough to offset weaker services revenue.
- The status and terms of short-term borrowing, including the floating-rate facility, and potential dilution or cash obligations from warrants and contingent acquisition consideration.
- Customer retention and concentration exposure, including the largest customer’s 54% share of Q3 revenue and the concentration of accounts receivable among major customers.
- Reconcile a filing discrepancy: the statement of operations reports nine-month 2022 operating loss of $5.464 million, while the segment discussion gives $5.654 million. The segment discussion also reports Q3 total segment operating profit of $0.108 million and unallocated costs of $1.632 million, which do not reconcile to its stated operating loss of $1.524 million under the described presentation.
