Q2 revenue grew 39%; six-month revenue grew 35%. Appliance and integration revenue increased 55% for Q2 and 48% for the half, largely reflecting CableOS deployments. SaaS and service revenue rose 2% and 5%, respectively. Appliance and integration made up 77% of revenue in both 2022 periods, versus 69% and 70% a year earlier. Management attributed lower gross margin to unfavorable product mix.

For Q2, Video revenue was $76.2 million, up 20%, and Cable Access revenue was $81.2 million, up 62%. For the first half, Video revenue rose 6% to $142.1 million; Cable Access rose 78% to $162.8 million. Cable Access margins were pressured by product mix and freight and shipping costs.

Balance sheet, liquidity, and debt

  • Cash and cash equivalents were $121.8 million at July 1, 2022, down from $133.4 million at December 31, 2021. Accounts receivable was $106.4 million; inventory was $82.6 million, up from $71.2 million.
  • Total liabilities were $401.6 million and stockholders’ equity was $296.8 million. • The company cited a $25 million revolving credit facility as a liquidity source; the filing text does not provide a clear value for the amount drawn or undrawn.
  • Six-month operating cash use was mainly associated with working capital, including higher receivables and inventory and lower accounts payable. Investing cash inflow of $2.5 million included proceeds from the Encoding.com investment sale; financing cash use was $2.9 million. Cash also declined by $5.6 million from exchange-rate effects.
  • Management said existing liquidity was adequate for the 12 months following July 1, 2022 and expected to continue generating positive operating cash flow. Total minimum lease payments were $40.5 million.

Material changes and unusual items

  • Other income included a $4.2 million gain from the May 2022 sale of Encoding.com. The company received $7.8 million at closing; up to approximately $2.9 million of additional consideration is conditional and expected within 18 months.
  • Adoption of ASU 2020-06 on January 1, 2022 eliminated separate accounting for embedded conversion features in the Notes and reduced interest expense. Management reported that adoption increased net income by approximately $1.4 million for Q2 and $2.7 million for the first half, increasing EPS by about $0.01 and $0.03, respectively.
  • Restructuring charges for the first half were $1.9 million, primarily reflecting severance and employee-benefit costs, including costs related to ceasing operations in Russia.
  • The company repurchased approximately 0.6 million shares for $5.0 million in the first half under a $100 million authorization; $95.0 million remained available at July 1.
  • Foreign-currency translation reduced first-half comprehensive income by $9.7 million, net of tax.

Outlook, risks, and contingencies

The filing provides no quantified revenue or earnings guidance. Management highlighted continued customer adoption of cloud and streaming video solutions and CableOS deployments as growth opportunities. Remaining performance obligations were $497.9 million; approximately 83% was expected to be recognized as revenue in the next 12 months.

Key risks include concentrated customers and variable large transactions: the top 10 customers contributed approximately 70% of Q2 revenue; Comcast contributed 37% and Intelsat 11%. Other risks include component shortages and supply-chain costs, inflation and foreign-exchange volatility, customer spending uncertainty, COVID-19 impacts, and geopolitical disruption—particularly the Russia-Ukraine conflict and outsourced engineering resources in Ukraine. The company also disclosed an ongoing OFAC inquiry concerning historical transactions involving Iran through acquired French subsidiary TVN; it said it was cooperating and did not anticipate a material impact. Litigation outcomes and possible losses could not be reasonably estimated. Disclosure controls were assessed as effective, with no material change in internal control over financial reporting reported for the quarter.
